Job Duties. It is understood by the parties that every incidental duty connected with operations enumerated in job descriptions is not always specifically described. Nevertheless, it is intended that all such duties shall be performed by employees.

I shall perform the duties and responsibilities customary to my position(s) with Premier and/or its Related Companies and as assigned to me from time to time. Effective beginning as of the Effective Date (as defined below), my initial position with Premier shall be as Senior-Vice President, Member Field Services. Premier and I, however, agree that this Agreement is effective only upon the consummation of the Reorganization (the "Effective Date") and shall be void ab initio and of no force or effect whatsoever unless and until such transactions are consummated.
