Contractor’s Agents. Contractor shall ensure that any agents, including subcontractors, to whom it provides Protected Information, agree in writing to the same restrictions and conditions that apply to Contractor with respect to such PHI and implement the safeguards required by § 8.3.1.3 above with respect to PHI. Contractor shall implement and maintain sanctions against agents and subcontractors that violate such restrictions and conditions and shall mitigate the effects of any such violation.

Contractor’s Agents i. Contractor shall appoint a project manager (the “Project Manager”) to direct the Contractor’s efforts in fulfilling Contractor’s obligations under this Contract. This Project Manager shall be subject to approval by the County and shall not be changed without the written consent of County, which consent shall not be unreasonably withheld.
Contractor’s Agents. Internet2 shall have the right to use Contractor/Agents to perform any of its obligations or to act on behalf of Internet2, including scheduling system downtime of the eduroam service for maintenance and other purposes. Connector shall have the right to use Contractor/ Agents to perform any of its obligations or to act on behalf of Connector. As between Internet2 and Connector, all actions of Internet2’s Contractor/Agents when acting on Internet2’s behalf in connection with this Agreement are attributable to Internet2 for all purposes under this Agreement, and all actions of Connector’s Contractor/Agents when acting on Connector’s behalf in connection with this Agreement are attributable to Connector for all purposes under this Agreement.
Contractor’s Agents. To ensure that any agents, including subcontractors but excluding providers of treatment services, to whom Contractor provides PHI received from or created or received by Contractor on behalf of CDHS, agree to the same restrictions and conditions that apply to Contractor with respect to such PHI; and to incorporate, when applicable, the relevant provisions of this Contract into each subcontract or subaward to such agents or subcontractors.

Contractor assumes full and sole responsibility for all acts and omissions of Contractor's agents, and payment of all compensation and expenses of these agents and for any and all state and federal income tax, workers' compensation insurance, unemployment insurance, Social Security, disability insurance and other applicable withholdings.

Contractor’s Agents. If the contractor uses a subcontractor or agent to provide services under this contract, and the subcontractor or agent creates, receives, maintains, or transmits the state’s PHI, the subcontractor or agent shall sign an agreement with the contractor containing substantially the same provisions as this Appendix. Contractor will indemnify the state in the event of any violation of the subcontractor or agent agreement. The contractor shall mitigate the effects of any violation of that agreement. Contractor is responsible for all subcontractor or agent’s breach of the terms of this agreement, and for all acts or omissions of its subcontractors or agents with respect to the services provided to the State. Availability of Information to the State: Within 15 days after the date of a written request by the state, the contractor shall provide any information necessary to fulfill the state’s obligations to provide access to PHI under HIPAA, the HITECH Act, or the Privacy and Security Rule. Accountability of Disclosures: If the contractor is required by HIPAA, the HITECH Act, or the Privacy or Security Rule to document a disclosure of PHI, the contractor shall make that documentation. If the state is required to document a disclosure of PHI made by the contractor, the contractor shall assist the state in documenting disclosures of PHI made by the contractor so that the state may respond to a request for an accounting in accordance with HIPAA, the HITECH Act, and the Privacy and Security Rule. Accounting records shall include the date of the disclosure, the name and if known, the address of the recipient of the PHI, the name of the individual who is subject of the PHI, a brief description of the PHI disclosed and the purpose of the disclosure. Within 15 days of a written request by the state, the contractor shall make the accounting record available to the state. Amendment of PHI: Within 30 days of a written request by the state or an individual, the contractor shall amend PHI maintained, transmitted, created or received by the contractor on behalf of the state as directed by the state or the individual when required by HIPAA, the HITECH Act or the Privacy and Security Rule, or take other measures as necessary to satisfy the state’s obligations under 45 C.F.R. 164.526.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. A Contractor’s “Representative” is also broadly defined to include any subcontractors, employees, agents, or anyone else who acts on a Contractor’s behalf.

  • Contractor’s Contract Manager The Contractor’s Contract Manager, who is primarily responsible for the Contractor’s oversight of the Contract performance, will be identified in a separate writing to the Department upon Contract signing in the following format: Contractor’s Contract Manager Name Contractor’s Name Contractor’s Physical Address Contractor’s Telephone # Contractor’s Email Address If the Contractor changes its Contract Manager, the Contractor will notify the Department. Such a change does not require an amendment to the Contract.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses.
