CONSULTING SERVICES AND COMPENSATION. On the terms and subject to the conditions set forth in this agreement, Issuer and Consultant hereby agree that:
CONSULTING SERVICES AND COMPENSATION. Consulting services to be provided by you to Sunesis shall include, but not be limited to: · Participate in the review and discussion of Sunesis’ Research and Development strategy. · Review and assess development plans and status of Sunesis compounds, i.e. SNS-595, SNS-032, SNS-314, and provide advice to Sunesis management. · Participate in selected advisory and project meetings. In consideration for your consulting services, Sunesis will compensate you $3,000 per day (or prorated at a hourly rate of $375/hour). In addition to the foregoing, Sunesis will reimburse you for any out-of-pocket expenses reasonably incurred while performing consulting services on behalf of Sunesis. Payments hereunder shall be based on Sunesis’ receipt from you of an itemized invoice for services and expenses, including related documentation for such expenses. Sunesis will pay such invoice within thirty (30) days of receipt. The total payments to be made pursuant to this Letter Agreement during any given one (1) year period shall not exceed $40,000.
CONSULTING SERVICES AND COMPENSATION. Pursuant to the terms and conditions of the 2006-Employees -- Consultants Stock Compensation Plan of Advanced Media Training, Inc. (the "Plan"), and subject to the conditions set forth in this Agreement, Issuer and Consultant hereby agree that:
CONSULTING SERVICES AND COMPENSATION. (a) The term of the consulting arrangement described in this Section 2 shall begin on the Effective Date and shall end on [December 31, 2014] (the “Term”). The Executive may terminate this consulting arrangement at any time and Xenith may terminate this consulting arrangement with thirty (30) days’ notice to the Executive if (i) in the opinion of counsel to Xenith the Executive is prohibited from performing services for Xenith by any regulatory agency or under the regulations of any regulatory agency, (ii) the Executive fails to perform the services requested by Xenith or (iii) the Executive dies during the Term. 1 The additional amount will be calculated so that the total value of the severance benefit payable under the Employment Agreement, the consulting fees and the additional amount total $250,000, less any reduction necessary to avoid “excess parachute payments.”
CONSULTING SERVICES AND COMPENSATION. The Executive shall render to the Corporation such strategic transaction services related to the Corporation’s Project Serengeti as requested from time to time by Xxxxxx X. Xxxxxxx and/or Xxxxx X. Xxxxxx (or such other persons as designated by the Corporation’s Chief Executive Officer). The Executive agrees to devote a minimum time for such services to the Corporation of 40 hours per week and four (4) weeks during each calendar month. For such services, the Executive shall be paid at the rate of $175 per hour. The Corporation agrees to require at least that number of hours of service from the Executive so that the Executive is paid $84,000 in the aggregate for services related to Project Serengeti. The Executive shall invoice the Corporation at the end of each calendar month with respect to the services provided during such month. Payment shall be made within ten (10) business days of the Corporation’s receipt of such invoice. The Executive shall not be paid for any other services provided under the Consulting Agreement other than for the payment specified in the Consulting Agreement.
CONSULTING SERVICES AND COMPENSATION. The Company agrees to procure, and the Consultant agrees to provide to the Company consulting services, with particulars as set out below.
CONSULTING SERVICES AND COMPENSATION. GEII agrees to pay Consultant the following compensation, as well as any out-of-pocket expenses Consultant may have incurred, or may incur, during its consultancy to GEII, within 30 days of the receipt by GEII of any amounts contemplated below, or within 30 days of any billing by Consultant, as fair and appropriate compensation for Consultant’s described services:
CONSULTING SERVICES AND COMPENSATION. Effective immediately following the Effective Date, Xxxxx shall commence services as an individual independent contractor of the Company pursuant to that certain Consulting Agreement, effective as of May 11, 2023 (the “Consulting Agreement”), to which this Release Agreement is attached. In consideration for such consulting services and for Mowry’s execution, delivery and non-revocation of this Release Agreement, Xxxxx shall, in addition to the benefits described in the paragraphs below, be entitled to receive the cash compensation and the grants of the “Equity Awards” (as defined in the Consulting Agreement), in each case as described in, and subject to the terms and conditions, as applicable, of, the Consulting Agreement and all Exhibits thereto.
CONSULTING SERVICES AND COMPENSATION. Commencing on the date hereof, Consultant will be available to assist the Company in developing and implementing a relocation program in connection with the Company's planned relocation from Long Beach, California to Orem, Utah (the "Consulting Services"). The Consulting Services shall be completed no later than three (3) months from the date hereof, or at such later date as the parties shall mutually agree. In consideration of the Consulting Services, the Company shall pay to Consultant a monthly fee equal to $9000, plus Consultant's reasonable expenses. All fees and expenses due under this Agreement shall be payable on a monthly basis, upon submission of an appropriate invoice for such fees and expenses, net 30 days.
CONSULTING SERVICES AND COMPENSATION. Effective from March 1, 2017 through March 31, 2017 (the “Initial Consulting Term”), Xx. Xxxxxxxxx shall provide legal and transitional consulting services (“Consulting Services”) to the Employers. During the performance of the Consulting Services, Xx. Xxxxxxxxx shall continue to serve as one of the Employers’ legal counsels, and Xx. Xxxxxxxxx’x change from employee to independent contractor status shall therefore not affect the applicability of the attorney-client privilege to communications between the Employers and their outside legal counsel. Xx. Xxxxxxxxx shall provide Consulting Services at reasonable times as requested by the Chief Executive Officer, President, Chief Operating Officer, Chief Financial Officer or Chief Accounting Officer of the Employers. Xx. Xxxxxxxxx shall be available to perform the Consulting Services for up to six (6) hours a day during regular business hours on weekdays that the Employers are open for business; provided that (i) Xx. Xxxxxxxxx shall not be required to perform the Consulting Services from March 6, 2017 through March 12, 2017, (ii) unless otherwise directed by the Employers, Xx. Xxxxxxxxx may perform the Consulting Services at a location or locations of his choosing outside the Company’s headquarters; (iii) Xx. Xxxxxxxxx shall not be required to perform Consulting Services at times that would unreasonably interfere with Xx. Xxxxxxxxx’x search for employment or with any subsequent employment; and (iv) subject to the terms of Paragraph 6 of this Agreement and Section 5 of the Severance Agreement, Xx. Xxxxxxxxx shall not be prohibited from seeking or obtaining other employment or consulting engagements from and after the Effective Date and during the Consulting Period (as defined below). During the Initial Consulting Term, (i) Xx. Xxxxxxxxx shall not be required to perform more than ninety (90) hours of Consulting Services and
