Such Holder acknowledges and agrees that any securities that may be issued as a part of the transactions contemplated by this Letter Agreement may not be sold or otherwise disposed of unless such sale or other disposition is registered under the Securities Act or is exempt from the registration requirements of the Securities Act.
This Letter Agreement may be executed and delivered in any number of counterparts and by way of electronic signature and delivery, each such counterpart, when executed and delivered, shall be deemed an original, and all of which together shall constitute the same agreement.
