ADJUSTMENTS TO COMPENSATION. Employee’s base salary and other cash compensation shall be subject to withholding and other applicable taxes. If Employee is employed by the Company for less than 12 months in any Year, unless otherwise provided in Section 6 or in the applicable plan or arrangement, his compensation and benefits shall be prorated in accordance with the number of days in the Year during which he is employed.
ADJUSTMENTS TO COMPENSATION. The Bureau recognizes that CONTRACTOR has entered into this Contract based upon the Standards in effect as of the date the Contract became effective. If there are changes in the Standards or unforeseen circumstances which change the scope of services to be furnished pursuant to this Contract and increase or decrease the cost of managing the facility, CONTRACTOR shall provide the Bureau written notice and documentation supporting an adjustment to compensation. The Bureau shall review and not unreasonably deny the adjustment to compensation. The Bureau may adjust the total compensation paid CONTRACTOR so that CONTRACTOR may be paid compensation equal to the amount required to the change in CONTRACTOR`s cost managing the Facility because of the change in scope of services, retroactive to the effective date of such cost changes. Since requests for appropriated funds are based on costs as provided in CONTRACTOR’s proposal, any adjustment to compensation to cover changes in the Standards or unforeseen circumstances which changes the scope of services, shall be subject to adequacy of appropriated funds, sufficient to cover the compensation change. For the avoidance of doubt, in no circumstance will payment to CONTRACTOR cause the per diem paid to exceed the maximum allowed by Chapter 957, F.S.
ADJUSTMENTS TO COMPENSATION. The compensation components as described in Section 3.1 above and other Sections herein shall be increased from time to time as the Board shall determine taking into account the success of Holdings, the performance of Executive, the size, revenues, and earnings of the businesses held or operated, or contemplated to be held or operated, by Holdings and market factors.
ADJUSTMENTS TO COMPENSATION. Executive's compensation will be reviewed annually each year on such date as is determined by Employer's Compensation Committee, such review to be conducted by the Compensation Committee consultation with the Chief Executive Officer. However, any adjustment shall be in the sole discretion of Employer and nothing contained herein shall in any manner obligate Employer to make any increase or provide any additional compensation to Executive.
ADJUSTMENTS TO COMPENSATION. (a) The Board of Directors of Employer ("Board"), or the Compensation Committee thereof, will review Employee's Base Wages no less than annually at which time it will determine increases to Employee's Base Wages.
ADJUSTMENTS TO COMPENSATION. In the event that any such changes materially impact the cost to the Contractor of performing the Services or the time required for such performance, the parties shall negotiate in good faith a reasonable and equitable adjustment in the applicable Fees and schedule, as applicable.
ADJUSTMENTS TO COMPENSATION. Employer shall be entitled to reduce any payments due to Employee under Paragraph 3 of the Employment Agreement by an amount equal to the total compensation paid to Employee by the Company pursuant to the terms of the Management Agreement.
ADJUSTMENTS TO COMPENSATION. During the Term, the Company --------------------------- shall not reduce the Executive's Base Salary or Annual Bonus without the Executive's prior written consent.
ADJUSTMENTS TO COMPENSATION. Fees may be reduced on a case-by-case basis, or as required in compliance with FINRA rules. For these purposes, an email from NMS to Issuer will constitute sufficient evidence of an alteration of the Compensation set forth in this Section 3. Any alteration to the Fee Schedule shall not be interpreted to be, or constitute an amendment or general waiver of the Fee Schedule or other terms of this Agreement unless specifically set forth by NMS in writing.
ADJUSTMENTS TO COMPENSATION. A teacher who is laid off and who is paid unemployment benefits by Utica Community Schools during the summer immediately following the layoff and who is subsequently recalled to a position during the next school year shall have his/her compensation adjusted by the gross dollar amount of the unemployment compensation benefits received for all periods and/or days during the summer recess minus the number of weeks (or portion thereof) recalled after fourth Friday.
