Adaptation for Local Market. QT will, from time to time, provide Freedom Ventures with samples of all QT Products packaging, end user documentation and advertising, and promotional materials as may be necessary to be used in connection with the QT Products. Freedom Ventures will, at its expense, reasonably translate as commercially appropriate all such packaging, end user documentation and advertising and promotional materials into the language(s) of the Territory. Freedom Ventures agrees to and hereby irrevocably assigns and transfers to QT, and agrees to irrevocably assign and transfer to QT, all of its rights, title and interest in all such translated materials, including, but not limited to, all related copyrights and Moral Rights. Freedom Ventures also, on behalf of itself and its employees and subcontractors, waives and agrees never to assert any and all Moral Rights that Freedom Ventures or its employees or subcontractors may have in or with respect to the translated materials, even after termination or expiration of this Agreement.

Adaptation for Local Market. COMPANY AND DISTRIBUTOR shall consult ----------------------------- in good faith with respect to the localization of the COMPANY Software and DISTRIBUTOR shall make such changes to COMPANY Software and COMPANY Documentation, packaging and related marketing materials as DISTRIBUTOR and COMPANY agree would be appropriate to adapt COMPANY Product or use in the Territory. COMPANY shall submit to DISTRIBUTOR all material necessary to DISTRIBUTOR's Localization effort ("Localization Kit"). This might include, but is not limited to, scripts for speech files, and removable data storage media containing artwork. COMPANY assures DISTRIBUTOR that it will cooperate in DISTRIBUTOR's development of the Localized COMPANY Products. DISTRIBUTOR shall be responsible for translating and manufacturing or having manufactured COMPANY manuals, advertising and promotional materials into into the language of the Territory if so requested by COMPANY. Upon receipt of the Localization Kit, DISTRIBUTOR shall submit within two (2) weeks, an estimated publishing date for the localized version of the COMPANY Product, which shall be no later than four (4) calendar months following receipt of the Localization Kit. DISTRIBUTOR agrees to use professional actors, which must be pre-approved in writing by COMPANY, for the voice-overs and agrees to have each actor contributing content or efforts toward the Localizations execute the COMPANY Professional Services Agreement attached and incorporated hereto as Exhibit B. Failure to meet the publishing date deadline shall be considered a material breach and shall allow COMPANY to terminate the Agreement upon thirty (30) days prior written notice. During the completion of the Localization process, DISTRIBUTOR shall submit all localized materials to COMPANY for approval. DISTRIBUTOR must receive written approval from COMPANY prior to any sale or demonstration of Localized COMPANY Products. If DISTRIBUTOR cannot achieve the quality or technical standards equivalent to those of the English version of the COMPANY Product within forty-five (45) calendar days after DISTRIBUTOR's initial submission of the Localized COMPANY Products to COMPANY for approval, COMPANY may terminate this Agreement upon seven (7) days prior notice. COMPANY has the exclusive right to sell Localized COMPANY Products outside the Territory.

Licensee shall consult with NYC English as to such changes that may be required to the advertising and promotional materials of the Specified Products pursuant to this Section 2(a)(vii), and shall obtain NYC English’s prior written consent to each such change. Licensee acknowledges and agrees that, unless otherwise agreed by NYC English and notwithstanding any other provision of this Agreement, NYC English shall not have any obligation to warrant or repurchase any Specified Products so modified by Licensee. The copyright to all translations and alterations for the Specified Products shall remain the sole property of NYC English, and Licensee hereby agrees to take all steps necessary to provide copyright protection of the translations in the name of NYC English, and to assign to NYC English any rights it may have therein.
Adaptation for Local Market. As requested by ViewRay, Distributor will translate the agreed upon Documentation and/or Collateral and/or Labeling into the language(s) of the Territory (the “Translations”), at its own expense. Distributor will obtain ViewRay’s prior written approval of the Translations prior to distributing, selling or using them (or any updated version of the foregoing). ViewRay shall not unreasonably withhold such approval. Distributor shall also promptly provide prior to first use and thereafter from time to time, upon request of ViewRay, samples of any modified Collateral or promotional and advertising materials for the Products or otherwise related to this Agreement produced by or for Distributor, and Distributor shall make modifications to such promotional and advertising materials if reasonably requested by ViewRay. Upon the effectiveness of this Agreement, Distributor irrevocably assigns and transfers all rights, title and interest in the Translations to ViewRay, including, but not limited to, all related copyrights and moral rights. Distributor waives and agrees never to assert any moral rights that Distributor or its employees, agents or subcontractors may have in the Translations and must defend, indemnify and hold ViewRay harmless for any claim made by its employees, agents or subcontractors otherwise. ViewRay grants Distributor during the Term, an exclusive, non-transferable and non-royalty bearing license to use such Translations in the Territory solely for Distributor’s performance under this Agreement.
Adaptation for Local Market. Distributor will be responsible for translating, at its expense, all Transmeta manuals, packaging, advertising, and promotional materials used in connection with Transmeta Products into the language(s) of the Territory if so instructed by Transmeta in writing. Distributor will consult with Transmeta as to what changes need to be made to written materials pursuant to this Section 2(b), and will obtain Transmeta's prior written consent to each such change to written materials. Distributor hereby assigns to Transmeta all of Distributor's right, title and interest in all such translated and modified materials, including but not limited to all related copyrights and moral rights.

Product or Service Discontinuance Where Contractor is the Product Manufacturer/Developer, and Contractor publicly announces to all U.S. customers (“date of notice”) that a Product is being withdrawn from the U.S. market or that maintenance service or technical support provided by Contractor (“withdrawn support”) is no longer going to be offered, Contractor shall be required to: (i) notify the Commissioner, each Licensee and each Authorized User then under contract for maintenance or technical support in writing of the intended discontinuance; and (ii) continue to offer Product or withdrawn support upon the Contract terms previously offered for the greater of: a) the best terms offered by Contractor to any other customer, or b) not less than twelve (12) months from the date of notice; and (iii) at Authorized User’s option, provided that the Authorized User is under contract for maintenance on the date of notice, either: provide the Authorized User with a Product replacement or migration path with at least equivalent functionality at no additional charge to enable Authorized User to continue use and maintenance of the Product. In the event that the Contractor is not the Product Manufacturer, Contractor shall be required to: (i) provide the notice required under the paragraph above, to the entities described within five (5) business days of Contractor receiving notice from the Product Manufacturer, and (ii) include in such notice the period of time from the date of notice that the Product Manufacturer will continue to provide Product or withdraw support. The provisions of this subdivision (a) shall not apply or eliminate Contractor’s obligations where withdrawn support is being provided by an independent Subcontractor. In the event that such Subcontractor ceases to provide service, Contractor shall be responsible for subcontracting such service, subject to state approval, to an alternate Subcontractor.

  • PRICE LISTS AND PRODUCT INFORMATION Contractors should provide an electronic version of the proposed price list in an Excel format or pdf on a jump drive. Also provide a dealer list, if applicable in an Excel format with "read and write" capabilities on the same jump drive. No costs or expenses associated with providing this information in the required format shall be charged to the State of Arkansas. At the time of contract renewal contractor will furnish OSP with an updated dealer list and published price list.

  • New Application for Licensure Any time after the three-month period has lapsed from the Effective Date of this Agreement and Respondent has paid the Administrative Penalty set forth in Section III, Paragraph 1 of this Order, Respondent may apply for a new mortgage loan originator license or, as applicable, petition for the reinstatement of an MLO Activity Endorsement in any or all of the Participating States with the understanding that each State Mortgage Regulator reserves the rights to fully investigate such application for licensure or petition for reinstatement of an MLO Activity Endorsement and may either approve or deny such application or petition pursuant to the normal process for such licensing or endorsement investigations. No license application or petition described in this paragraph will be denied solely based on the facts, circumstances, or consensual resolution provided for in this Agreement. Respondent further agrees that Respondent must satisfy the Administrative Penalty provision prior to submitting an application for a new mortgage loan originator license or, as applicable, petition for the reinstatement of an MLO Activity Endorsement.

  • Product and Service Offerings The Products and services available under this Contract are set forth herein and specified in Appendices C and D which may be amended during the contract term to incorporate new Product or service offerings, price revisions or deleted items. This Contract is limited to sale, installation and maintenance of Product (see also 4.2 Service Offerings). Leasing is not permitted at this time. The Commissioner reserves the right to amend the Contract at any time to incorporate lease offerings. For the purposes of this section, the Contractor warrants and represents that it is authorized and empowered to and hereby grants the State and the third-party provider of MFMP the right and license to use, reproduce, transmit, distribute, and publicly display within the system the information outlined above. In addition, the Contractor warrants and represents that it is authorized and empowered to and hereby grants the State and the third-party provider the right and license to reproduce and display within the system the Contractor’s trademarks, system marks, logos, trade dress, or other branding designation that identifies the products made available by the Contractor under the Contract.

  • Publicity and Use of Trademarks or Service Marks 34.1 A Party, its Affiliates, and their respective contractors and Agents, shall not use the other Party’s trademarks, service marks, logos or other proprietary trade dress, in connection with the sale of products or services, or in any advertising, press releases, publicity matters or other promotional materials, unless the other Party has given its written consent for such use, which consent the other Party may grant or withhold in its sole discretion.
