Prior Consultation definition

Prior Consultation means oral or written notice to the chief executive officer of the Company at least two (2) days (one of which must be a business day) prior to the earlier of (x) taking the action or (y) committing to take the action with respect to which Prior Consultation is necessary pursuant to ss.5(e) below and subsequent to such notice making the chief executive officer of Parent reasonably available to the chief executive officer of the Company to discuss such action prior to taking such action.
