Employs means any relationship wherein Vendor has made arrangements to compensate an individual, directly or by way of a business organization in which the individual has a sharehold or ownership interest, even if that arrangement is contractual and/or on an hourly-charge basis.

Candidates are referred to CLIENT in confidence. CLIENT will not refer or otherwise identify Candidates to third party companies. In the event that a Candidate has submitted his/her resume to CLIENT or is in CLIENT’s database and has not been contacted about or interviewed for the position for which there is a Referral within twelve (12) months prior to the date of such Referral, AGENCY will be considered the source of the Referral and entitled to a full Fee. Where such Candidate has submitted its resume or has been contacted or interviewed as aforesaid during such twelve (12) months, CLIENT will be deemed to have recruited Candidate on its own, and AGENCY will not be entitled to any Fee. Guarantee AGENCY guarantees its services as follows: If the full fee is paid by CLIENT within (15) calendar days from the invoice date, a ninety (90) calendar day pro rate guarantee will be in effect. Otherwise, a thirty (30) calendar day pro rate guarantee will be in effect. In either case, if the employee's employment terminates for any reason other than reorganization, elimination of position, takeover or material change in job responsibility within the applicable guarantee period, AGENCY will refund a pro rate portion of the full fee paid to us for such candidate or issue a pro rate credit for such amount in the event we provide a replacement.
