Completion Relief definition

Completion Relief means a Relief arising to a Group Company as a result of a transaction occurring prior to Completion and that is fairly and properly attributable to a period ending on or before the Completion Date (assuming for these purposes that a period of account of the Group Company concerned is ended on the Completion Date);
Completion Relief means any Relief which arises in consequence of or by reference to an Event occurring or deemed to occur after Completion and not in consequence of or by reference to any Event occurring or deemed to occur on or before Completion (but shall not include any Relief referred to in paragraph 4.2);

Examples of Completion Relief in a sentence

  • In the case of a Tax Claim involving the set-off of a Post Completion Relief, the later of ten Business Days following the service by the Purchaser of a written demand for the same or the date on which the Actual Tax Liability would have fallen due but for such setting off.

  • If any sum payable by the Warrantors to the Buyer under this schedule is (or but for the availability of any Accounts Relief or Post Completion Relief would be) subject to a Tax Liability in the hands of the Buyer, the Warrantors shall pay to the Buyer such sum as is necessary to ensure that the amount received by the Buyer is not less than the amount it would have received had the payment not been subject to Tax.

  • Project Completion means completion of the Redevelopment in accordance with this Agreement to the state where the whole of the Morley Shopping Centre, as so redeveloped, is capable of occupation for its intended purpose;

  • Completion Period means the period starting from the date of issue of "Order" and required to complete the work in all respect.

  • Substantial Completion Date means the date on which Substantial Completion occurs.

  • Project Work means the work required to complete the Project.

  • Project Implementation Unit or “PIU” means the unit referred to in Section I.A.1(b) of Schedule 2 to this Agreement.
