It is the sole discretion of the TSTRANSCO to grant extension of Completion Period.
The Completion Period mentioned above is the essence of contract.
Any Transfer under this Section 3.03(e) shall be made in accordance with and subject to Section 3.05 and must be completed by the later of (i) one hundred twenty (120) days from the termination of the Initial Offer Period or (ii) the end of the ROFO Completion Period, as such period may be extended pursuant to Section 3.03(g).
Upon a showing by the Developer of good cause therefore, the date for commencement of work on the Improvements, or the duration of the Completion Period, may be extended by the City Engineer, with the written concurrence of the City Administrator.
However, if the Closing Conditions are not completed during the Completion Period, the Agreement shall be automatically canceled and no Party to the Agreement shall have any claim and/or demand against the other Party.
