In practice, this clause may apply in situations such as natural disasters, government actions, or other force majeure events that prevent a party from fulfilling contractual duties. Its core function is to allocate risk by ensuring that parties are not penalized for failures to perform that are genuinely outside their control, thereby promoting fairness and predictability in contractual relationships.
