THE LICENCE AGREEMENT. The College agrees to grant and the Student agrees to take a licence of the Accommodation for the Licence Period on the conditions set out in this licence agreement, in the Handbook the Accommodation Acceptance Form and the Domestic Arrangements information sheet.
THE LICENCE AGREEMENT. On 18 August 2021, SWHY Enterprises, a direct wholly-owned subsidiary of the Company, as the Licensor and SWHY International as the Licensee entered into the Licence Agreement pursuant to which the Licensor agreed to license the Premises to the Licensee for a term commencing from 18 August 2021 to 6 May 2024 (both dates inclusive). The maximum aggregate amount payable by SWHY International to SWHY Enterprises pursuant to the provisions of the Previous De Minimis Agreement would not exceed HK$ 2,080,000. THE LICENCE AGREEMENT. On 13 April 2012, the Company entered into the Licence Agreement with PAX Data, pursuant to which PAX Data will license to the Company the Licensed Program for the Group’s POS Products currently targeted at the USCA market. * For identification purpose only The key terms of the Licence Agreement are as follows:– Date: 13 April 2012 Parties: (1) Company (as licensee) (2) PAX Data (as licensor) Subject matter: PAX Data grants to the Company a non-exclusive and non- transferable licence to be used in conjunction with the POS Products and only for its own business purposes and that of its subsidiaries (i) the Licensed Program; (ii) the operating manuals, instructions and technical literature supplied by PAX Data for aiding use of the Licensed Program; and (iii) the media on which (i) and (ii) above are recorded or printed. Arrangements with subsidiaries: The Company shall be entitled to grant sub-licences to its subsidiaries or require PAX Data to enter into direct licensing arrangements with the Company’s subsidiaries, on terms mutatis mutandis set out in the Licence Agreement.
THE LICENCE AGREEMENT. The Board is pleased to announce that the Licensee (an indirect wholly-owned subsidiary of the Company immediately prior to the signing of the Licence Agreement), the Licensor and Xx. Xxxx entered into the Licence Agreement on 23 April 2012, pursuant to which the Licensor agreed to grant to the Licensee and its subsidiaries with effect from the date of the Licence Agreement the exclusivity of the Licence Rights in each of the Territories during the Term and any Further Terms for the purpose of operating the Business, subject to and upon the terms of the Licence Agreement. The total consideration for granting the Licence Rights shall be satisfied by the Licensee by issue and allotment of 100 Top Now Shares (representing 10% of the total issued share capital of the Licensee immediately after the allotment) credited as fully paid up to the Licensor upon the signing of the Licence Agreement and by payment of HK$2,000,000 to the Licensor. Pursuant to the terms of the Licence Agreement, Xx. Xxxx shall guarantee to the Licensee the full, due and punctual performance by the Licensor of all its obligations under the Licence Agreement. To the best of the knowledge, information and belief of the Directors, having made all reasonable enquiries, the Licensor and its ultimate beneficial owner(s) and Xx. THE LICENCE AGREEMENT. On 24 January 2019, UKFM, a direct wholly-owned subsidiary of the Company, entered into a Licence Agreement as Licensee with Kingkey Enterprise and KK Culture together as Licensors, in respect of the leasing of the Premises for a term commencing from 24 January 2019 to 15 May 2020 (both days inclusive). THE LICENCE AGREEMENT. On 27 February 2020, the Company as licensee entered into the Licence Agreement with BEWG as licensor pursuant to which the Company will occupy and use the Licensed Area from 1 March 2020 to 31 October 2022 or the date on which BEWG ceases to be a tenant of the Hong Kong Property under the terms of the Lease, whichever is earlier. LICENCE FEE The Company will pay BEWG a monthly fee in the amount of HK$88,385 on the first day of each calendar month, being the sum of:
