TECHNICAL SERVICES FEES. For the avoidance of doubt, none of the Administrative Services Fee, the Management Services Fees or the commissions set forth in Sections 8.1(c) or 8.1(d) are inclusive of the fees and expenses to be paid to the Technical Manager in consideration of the Technical Manager’s provision of the Technical Services (the “Technical Services Fee”), which shall be separately negotiated and set forth in the Technical Services Agreement.

TECHNICAL SERVICES FEES. As consideration for the Technical Services (as defined below) to be provided by Licensor, Licensee shall pay to Licensor One Thousand Dollars ($1,000) per key or room to be part of the Hotel/Casino, which sum shall be paid in equal monthly installments commencing upon the execution of this Agreement until the date which is twenty-four (24) months after the date of execution of this Agreement (the "TECHNICAL SERVICES FEE") within ten (10) days after the end of each calendar month. For purposes of payment of the Technical Services Fee prior to the actual determination of the number of keys or rooms to be part of the Hotel/Casino, it shall be assumed that Licensee will construct three hundred twenty (320) rooms. Upon final determination of the actual number of rooms or keys to be part of the Hotel/Casino, the parties shall reasonably cooperate to reconcile any overpayment or underpayment of the Technical Services Fee.

TECHNICAL SERVICES FEES. Customer shall pay to DataBank, in accordance with Appendix C to DIR Contract No. DIR‐TSO‐4342, the Technical Services Fees determined in accordance with the relevant SOW. For all Technical Services engagements, actual travel expenses incurred will be billed in accordance with Appendix A, Section 8.F. and Appendix C to DIR Contract No. DIR‐ TSO‐4342, including but not limited to airfare, hotel, and a pre‐diem rate for meals and incidentals. Travel expenses will be estimated and included in the relevant SOW prior to incurring the expense. Unless otherwise expressly stated in the SOW, any Technical Services Fees or travel expenses specified are estimates only and Customer will be obligated to pay all Technical Services Fees incurred under the SOW whether or not such estimate is exceeded. DataBank shall invoice Customer in accordance with the payment schedule set forth in the relevant SOW, or, if a SOW does not specify a payment schedule, then billing will occur every two weeks, in arrears.
