SERVICES OF THE CONTRACTOR. 1.1. All work shall be in accordance with the attached RFP xxxxx and the Contractor’s response to the RFP xxxxx attached hereto as Exhibit A, and incorporated herein by reference. Should there be any discrepancy between Exhibit A and this Agreement the terms and conditions of this Agreement shall prevail.
SERVICES OF THE CONTRACTOR. For the duration of the contract the Operator will perform extraordinary maintenance of the PV plant. The Extraordinary maintenance includes any activity required to repair faults and malfunctions of the plant, including the actions developed to repair and/or replacement of defective components and/or damaged. The Corrective Maintenance Services will not include: · the repairing or maintenance of any equipment of the System which was not within the Works under the EPC Contract; · the repairing or maintenance of any equipment beyond the Cabina di Consegna; · the repairing or maintenance of any equipment of the System due to the occurrence of a Force Majeure event; · the repairing or maintenance of any equipment in the event of, or resulting from, any alterations or repairs to the System made by the Principal without the Contractor's prior written approval. In the above case the repairing or maintenance of any equipment will be managed as Non-Subscription Services. Under the Corrective Maintenance Services, the O&M Contractor will proceed with the replacement of the broken down sub-component with another new or reconditioned sub-component of the same quality (Photovoltaic broken modules will be replaced with new parts only). SERVICES OF THE CONTRACTOR. The Services to be performed by the Contractor shall at all times be subject to the inspection of the Commissioner. Acceptance by the Commissioner of any work or document hereunder shall not relieve the Contractor of sole responsibility for completing the Project as expressly set forth in this Agreement, in accordance with all applicable laws and regulations. SERVICES OF THE CONTRACTOR. Services provided under this Contract include the items of work awarded for either Bid Schedule #1, Bid Schedule #2, or both bid schedules of services. Portions of the scope of work may not be applicable to this Contract if specific portions of the scope are not awarded under this Contract. Services include debris clearing from public rights‐of‐way immediately after a storm/disaster (70 Hour Push); and removal of debris and providing supplies/equipment as needed to assist the City with recovery efforts. Attachment 1 to this Contract provides more detailed information on the Scope of Services. The Bid Sheet included with the Proposal Document outlines all of the pay items and their pricing information associated with this Contract. There is no way to anticipate every recovery service that will be needed for a particular disaster at the time of this “pre‐event” bid/contract; therefore, upon mutual agreement, additional pay items may be added by Change Order as needed. The City reserves the right to delete from the Scope individual pay items and authorize individual pay items as part of specific work assignments. The City also reserves the right to award portions of work to separate contractors. One Contractor may be awarded any one (or more) individual bid items within this Scope.
SERVICES OF THE CONTRACTOR. Emerald engages the Contractor to provide the services outlined on Schedule "B" of this Agreement ("Services"). Contractor agrees to provide the Services. Contractor agrees that Principal will provide the services on behalf of Contractor. Emerald and Contractor agree the Services are to be commenced during the initial term of this Agreement; however, Contractor does not guarantee that all of the Services that are set forth in Schedule B will be completed upon the expiration of the initial term of this Agreement. The Services may be replaced, amended, superseded or supplemented from time to time by mutual agreement between the Board and the Contractor. The Contractor will provide the Services through the Principal.
SERVICES OF THE CONTRACTOR. During the term of this Agreement, the Contractor shall devote his skills and best efforts in the performance of the services set forth on exhibit A to this Agreement (the "Services").
