SELLER'S PLANT. Seller's Plant and all Tooling shall be subject to inspection by Buyer at any time during normal business hours upon twenty-four (24) hours prior notice. Seller shall provide Buyer with safe and sufficient access for such inspection.
SELLER'S PLANT. Plant, tools, equipment and other property belonging to or provided by the Buyer to the Seller, its servants, agents or assignees shall be used at the Seller's sole risk and any loss or damage caused to or caused by the same shall be the Seller's sole responsibility and the Seller hereby indemnifies the Buyer against any loss, damage, claim or proceedings in respect thereof albeit that such loss, damage, claim or proceedings may have occasioned at the Buyers nominated Delivery site or by the Buyers breach, default, action, inaction and/or negligence or by the Buyers plant, tools, equipment and other property used with or without the Buyers permission, by the Seller.
SELLER'S PLANT. The ethanol plant owned by Seller and located at 0000 Xxxx Xxxx Xxxx, Xxxxxx, Xxxxxxx, as more specifically set forth on Exhibit A, attached hereto.
SELLER'S PLANT. After a Certificate of Acceptance (as hereinafter defined) has been executed with respect to a Car, the Car will be shipped from Seller’s Plant. All subsequent switching and transportation shall be at Buyer’s expense. Payment of Seller’s invoice will be due *** after Buyer’s receipt thereof. Title to each Car shall pass to Buyer upon payment in full for such Car. Following receipt of payment for a Car, Seller shall deliver to Buyer a bxxx for sale for such Car substantially in the form of Exhibit D.
SELLER'S PLANT. The price of the GMT 900 series program components shall determined per the June 14, 2001 and December 21, 2001 agreements between GM and AAM. Except for increases or decreases in Seller's cost by reason of Seller's participation in Buyer's Steel Resale Program; Buyer's pricing adjustment policy(ies) for non-ferrous metals; permitted under the AAM/GM Purchasing Transition agreement dated 10/5/99 (including metal market adjustments described in paragraph 6), the AAM/GM Directed Buy Component Agreement dated 12/21/2000, and the AAM/GM Foreign Currency Fluctuation Adjustment Procedure dated 8/31/01; or otherwise permitted under Buyer's Purchase Order Terms and Conditions, no adjustments will be made hereunder for increases or decreases in Seller's costs for materials. Except for the increases or decreases set forth above, no other pricing adjustments (e.g. labor or overhead) will be made except by agreement between AAM and GM. In addition, Buyer and Seller will use their best efforts to implement cost savings and productivity improvements, in order to reduce Seller's costs, with the understanding the 50 percent (50%) of jointly achieved net savings (after deduction of expenditures for development, applications, engineering tools, prototypes and financing) will be applied to reduce the price of the Product to Buyer and the balance will be for the benefit of Seller.
SELLER'S PLANT. The Seller agrees to hold such tooling for a period of sixty (60) days after completion or termination of this Agreement and/or submission to the Company of an acceptable list of Government property, whichever is later, at no cost to the Company or the Government pending disposition instructions from the Company. The Seller assumes the risk of, and shall be responsible for, any loss of or damage to such special tooling in its possession except for reasonable wear and tear until delivered as above specified. SELLER'S PLANT. This includes transportation charges on the invoice and addition of prepaid freight bill. All invoices, packages, bills of lading, etc., must contain purchase order number.
