The Seller. The Seller will keep in full effect all rights as are necessary to perform their respective obligations under this Agreement.
The Seller. (i) has disclosed, or is aware that there has been disclosed, in the application for such policy or otherwise to the insurer under such policy the "pollution conditions" (as defined in such policy) identified in any environmental reports related to such Mortgaged Property which are in the Seller's possession or are otherwise known to the Seller; and
The Seller. If You properly and timely opt out, then all Claims will be resolved in court rather than arbitration.
The Seller. The Seller's execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby by the Seller: (i) are within the Seller's corporate powers and duly authorized by all necessary corporate and shareholder action on the part of the Seller and (ii) do not (A) require any action by or in respect of, or filing with, any Governmental or Regulatory Authority (B) contravene, violate or constitute, whether with or without the passage of time or the giving of notice or both, a breach or default under, any Requirement of Law applicable to the Seller or any of its properties or any Contract to which the Seller or any of its properties is bound or subject or (C) result in the creation of any Encumbrance or any obligation and liability on any of the Purchased Assets.
