Responsibility for Staff. In the event of DCS‟ receipt of a report, (verbal or written) of criminal or potentially criminal activity by a member of the Contractor‟s staff (including any of the Contractor‟s subcontractors and their staff) that potentially threatens/endangers the life, health, or safety of any Child, DCS may immediately require a temporary suspension of such member of the Contractor‟s staff (including any of the Contractor‟s subcontractors and their staff) or appropriate safety measures pending an investigation into the report.

Responsibility for Staff. (1) UNDP will provide supervision of and care for its staff, authorised agents and representatives in accordance with applicable regulations and rules, policies and procedures, of the United Nations and of UNDP.
Responsibility for Staff. Be fully responsible for violation(s) of the Vendor Rules and Regulations (Provisions that control Vendor participation within LA WIC including but not limited to affirmations made in the Vendor Application and the Vendor Agreement, and federal and state rules, regulations, guidance and policy governing LA WIC as well as the Vendor Guide, Memorandums and the Policy Manual) committed by its owners, officers, managers, employees, agents, representatives, or other individuals including but not limited to, wholesalers and/or point-of-sale providers, who directly or indirectly participate in Vendor’s operations.

Responsibility for Staff. Company or, with respect to persons who work for a Subcontractor, the applicable Subcontractor(s), shall be responsible for their own staff assigned to provide Services under this Agreement, and, subject to this Article III, Company (directly or through Subcontractors) shall have the sole right to direct and control the management of such staff. Company and, in respect of persons who work for Subcontractors, Subcontractors, shall: (a) determine and pay all applicable wages and salaries, including applicable overtime and other premium pay; (b) provide welfare and retirement benefits, as it deems necessary or desirable; (c) comply with applicable tax laws, including income tax and employment tax withholding laws; (d) comply with all applicable laws governing the relationship between Company or Subcontractors and their respective employees, including laws relating to accommodation of disabilities, equal pay, provision of leave (e.g., FMLA, jury duty, etc.), unlawful discrimination, as well as wage and hour law requirements; (e) comply with all workers' compensation insurance coverage laws; (f) file all applicable reports with federal, state and local agencies and authorities as required by law; (g) maintain all required employment records, including personnel and medical files consistent with applicable law and customary business practices; and (h) comply with all applicable equal employment opportunity laws. While at or on the premises of the Group, personnel of Company and Subcontractors shall: (i) conduct themselves in a businesslike manner; and (j) comply with the reasonable requests and written standard rules of the Group regarding security, safety, health and personal, professional and ethical conduct as may be required for such locations. Such written rules shall be provided to Company by CUNA Mutual.
Responsibility for Staff. Licensee is solely responsible for providing appropriate employees, contractors, volunteers and agents to operate the Vaccination Center. Licensee will ensure that its employees, contractors, volunteers and agents (a) follow all applicable public health guidelines to limit the transmission of COVID-19, including wearing masks and social distancing as appropriate, and (b) comply with the terms of this Agreement and all other applicable federal and state laws and regulations.

  • Responsibility for Use (a) The Company alone will be responsible for furnishing, or arranging for a third party to furnish, all data and information required by the Documentation and the specifications therein for the Licensed System to function and perform in accordance with the Documentation, other than the data and information residing in the Licensed System in connection with BNYM’s performance of the Core Services. BNYM shall have no liability or responsibility for any Loss caused in whole or in part by the Company’s or a Permitted User’s exercise of the Licensed Rights or use of the Licensed System or by data or information of any nature inputted into the Licensed System by or under the direction or authorization of Company or a Permitted User; provided, however, this Section 2.5 shall not relieve BNYM of its obligation to act in accordance with its obligations under the Main Agreement. Company shall be responsible and solely liable for the cost or expense of regenerating any output or other remedial action if the Company, a Permitted User or an agent of either shall have failed to transmit properly and in the correct format any data or information, shall have transmitted erroneous or incorrect information or data, or shall have failed to timely verify or reconcile any such data or information when it is generated by the Licensed System (“Data Faults”).

  • Responsibility for Subcustodians Except as provided in the last sentence of this Section 8.6, the Custodian shall be liable to the Fund for any loss or damage to the Fund caused by or resulting from the acts or omissions of any Subcustodian to the extent that such acts or omissions would be deemed to be negligence, gross negligence or willful misconduct in accordance with the terms of the relevant subcustodian agreement under the laws, circumstances and practices prevailing in the place where the act or omission occurred. The liability of the Custodian in respect of the countries and Subcustodians designated by the Custodian, from time to time on the Global Custody Network Listing shall be subject to the additional condition that the Custodian actually recovers such loss or damage from the Subcustodian.

  • Responsibility for Errors Consultant shall be responsible for its work and results under this Agreement. Consultant, when requested, shall furnish clarification and/or explanation as may be required by the City’s representative, regarding any services rendered under this Agreement at no additional cost to City. In the event that an error or omission attributable to Consultant occurs, then Consultant shall, at no cost to City, provide all necessary design drawings, estimates and other Consultant professional services necessary to rectify and correct the matter to the sole satisfaction of City and to participate in any meeting required with regard to the correction.

  • Responsibility for Content Vendor is solely responsible for administration, content, intellectual property rights, and all materials at Vendor’s website. DIR reserves the right to require a change of listed content if, in the opinion of DIR, it does not adequately represent the Contract.
