Reports of Development Activities. Each Party shall report on Development activities undertaken by such Party in accordance with Development Plan by providing a reasonably detailed summary of all results, data and material inventions, if any, obtained from such activities, together with a summary of the Development activities that such Party intends to undertake during the next twelve (12) months with respect to Development of a Collaboration Compound and Collaboration Product. Such reports shall be provided in English by each Party to the other at least [**] days prior to each meeting of the JDC, [**]. In addition, each Party shall, at its own expense, make appropriate scientific and regulatory personnel available to the other Party, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep the other Party informed of Development activities.
Reports of Development Activities. Each Party will report on Development activities, if any, undertaken by it in accordance with Development and Regulatory Plan in connection with meetings of the JSC, including by providing a reasonably detailed summary of all results, data, and material inventions, if any, obtained from such activities. In addition, each Party will, at its own expense, make appropriate scientific and regulatory personnel available to the other Party, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep the other Party informed of Development activities. In addition, Ironwood will report on development activities relating to the Product undertaken by it or its licensees outside the Territory, including by providing a reasonably detailed summary of all results, data, and material inventions, if any, obtained from such activities.
Reports of Development Activities. Sanofi will report on the Development activities, if any, undertaken by it in accordance with the Development Plan at each meeting of the DAC, or in the event the DAC has been disbanded, to Ardelyx directly, as set forth in this Section 4.4. Such reports shall include a reasonably detailed summary of all results, data and material inventions, if any, obtained from such Development activities. In addition, Sanofi will, at its own expense, make appropriate scientific and regulatory personnel available to Ardelyx, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep Ardelyx reasonably informed of material Development activities conducted by Sanofi; provided that the fulfilment of such requests under this Section 4.4 shall be at Sanofi’s sole discretion if they require more than [***] over and above the time spent with respect to the normal organization of, and attendance to, DAC meetings.

During the period that the DCC is in effect, each Party will report on the Development activities, if any, undertaken by it in accordance with the Development Plan at each meeting of the DCC or at such other intervals as may be set forth in the Development Plan. After the DCC is disbanded, AstraZeneca shall continue to provide Ardelyx (i) on a semiannual basis with a written report of its Development activities, and (ii) a copy of each Clinical Trial final report within ten (10) days after each such Clinical Trial report is finalized. Whether provided during the period the DCC is in effect, or thereafter, the Development reports shall include a reasonably detailed summary of all results, data and material inventions, if any, obtained from such Development activities. In addition, each Party will, at its own expense, make appropriate scientific and regulatory personnel available to the other Party, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep the other Party informed of Development activities conducted by such Party.

Partner will report on Development activities undertaken by it in accordance with Development Plan in connection with meetings of the JDC, including by providing a reasonably detailed summary of all results, data, and material inventions, if any, obtained from such activities. In addition, Partner will, at its own expense, make appropriate scientific and regulatory personnel available to Ironwood, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep Ironwood informed of Development activities.
Reports of Development Activities. Licensee shall prepare and provide reports on the Development activities of the Product undertaken by it in the Territory at each meeting of the JSC. [*] In addition, as reasonably requested by Sxxxx, Licensee shall, at its own expense, make appropriate scientific and regulatory personnel available at JSC meetings to brief the JSC on Development activities conducted by Licensee. All of the documentation described in this Section 4.05 shall be provided to Sutro in English.
Reports of Development Activities. FOSUN shall report on the Development activities of the Licensed Product undertaken by it at each meeting of the SC. The Development reports shall include a reasonably detailed summary of all results, data and material inventions, if any, obtained from such Development activities. In addition, FOSUN shall, at its own expense, make appropriate scientific and regulatory personnel available to Ardelyx, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep Ardelyx informed of Development activities conducted by FOSUN.
Reports of Development Activities. Subject to Section 5.2.2, each Party will report on any and all Development activities undertaken by it and its Affiliates in the Territory or outside the Territory, as applicable, in connection with meetings of the JSC, including by providing a reasonably detailed summary of all results of clinical studies, regulatory activities and material Collaboration Know-How generated from such activities. In addition, each Party will, at the other Party’s expense, make appropriate scientific and regulatory personnel available to such other Party, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep such other Party informed of Development activities. Without limiting the generality of the foregoing, in connection with meetings of the JSC, Ironwood will also keep AstraZeneca reasonably informed on activities undertaken by Ironwood’s Third Party licensees of Products, including Forest, Allergan and Astellas, relating to the development of any Product outside of the Territory, and, if reasonably requested by AstraZeneca at any time, then, subject to Section 5.2.2, will provide AstraZeneca any and all information Controlled by Ironwood that would reasonably be expected to have an impact on, or be necessary or useful for the Development, Manufacture, Commercialization or other exploitation of, the Product in the Territory, including by providing a reasonably detailed summary of all results of clinical studies and material Collaboration Know-How generated from such activities. Without limitation of any specific disclosure obligations of Ironwood hereunder, Ironwood shall disclose [**] any Ironwood Know-How that is necessary for AstraZeneca to conduct its activities hereunder and the JSC shall establish, in good faith, the manner and procedures for disclosing any other Ironwood Know-How relevant to the applicable activities.
Reports of Development Activities. Albireo shall report on development activities undertaken by Albireo in accordance with Global Development Plan, including, without limitation, by providing a reasonably detailed summary of all results, data and, material inventions, if any, obtained from such activities. Albireo shall report on development activities of each of its Licensees, including, without limitation, by providing a reasonably detailed summary of all results, data and, to the extent such Licensee is a Sublicensee of Albireo pursuant to clause (ii) or (iii) of Section 2.5.2, Licensee Know-How and Licensee Patent Rights, if any, obtained from such activities; provided, however, that Albireo’s reporting obligations with respect to each Licensee’s activities under this Section 4.2.2 shall exist if, and only to the extent that, Ajinomoto agrees in writing to permit Albireo to report to such Licensee on Ajinomoto’s development activities on terms substantially similar to this Section 4.2.2. Albireo shall provide reports of its and its Licensees development activities to Ajinomoto [***]. Additionally, at least [***] prior to each meeting of the JDC, Albireo shall provide Ajinomoto with updates of such development activities to the previous meeting of the JDC. In addition, Albireo shall, upon Ajinomoto’s request and at Ajinomoto’s expense, make appropriate scientific and regulatory personnel available to Ajinomoto, either by telephone or in person as the Parties may mutually agree, as reasonably required to keep Ajinomoto informed of development activities under the Global Development Plan.
