Access to Personnel. Subject to compliance with contractual obligations and applicable laws and regulations, following the Closing, each Party shall use commercially reasonable efforts to make available to the other Party, upon written request, such Party’s and its Affiliates’ officers, directors, employees and agents to the extent that such persons may reasonably be required in connection with any legal, administrative or other proceedings in which the requesting Party may from time to time be involved relating to the Business prior to the Closing or for any other matter referred to in Section 9.1(a).
Access to Personnel. When this Agreement or a Service terminates for whatever reason, Supplier will provide Buyer or its designee for a period of three months with reasonable access to personnel and information relating to the provision of the discontinued Service(s) in order to facilitate the future performance by Buyer of such Service(s); provided that nothing in the foregoing will require Supplier to maintain or retain any particular personnel, systems, software or data and the access granted hereunder will be to such resources that Supplier retains in its ordinary course of business.
Access to Personnel. District will cooperate with Advisor by providing opportunities to consult with District personnel as Advisor deems reasonably necessary to perform the Consulting Services.
Access to Personnel. Upon Santen’s request and prior written consent, Tracon shall provide Santen access to Tracon employees and consultants, and those of its contractors (including its contract manufacturers) and licensors, as reasonably necessary to assist in technology transfer to Santen or its contract manufacturer. Such assistance shall be provided remotely or on-site at Santen’s or its contract manufacturer’s facilities. Tracon by itself (including its consultants who perform such work for Tracon) shall provide up to a total of […***…] hours of such assistance free of charge, and Santen shall reimburse Tracon for assistance provided by itself (including its consultants who perform such work for Tracon) beyond such […***…] hours at a rate of […***…] U.S. dollars (U.S.$ […***…]) per hour within thirty (30) days after receipt of an invoice therefor, such invoice to be issued by the tenth (10th) day of the month following the end of each calendar quarter.
Access to Personnel. After the Closing, Buyers and their Affiliates shall allow Sellers and Sellers' accountants, counsel and other representatives reasonable access from time to time during normal business hours, at Sellers' sole cost and expense, to employees of Buyers, including those employees of the Business of Sellers on the Closing Date who become employees of Buyer after the Closing Date, for such reasonable purposes as Sellers may request, including, without limitation, access to such personnel for information, testimony, statements and other similar matters pertaining to litigation, claims (including workers' compensation claims), proceedings, tax contests, audits and other matters involving Sellers' operation of the Business of Sellers on or prior to Closing; provided, however, that such access does not unreasonably disrupt Buyers' business.
Access to Personnel. Hospital agrees to allow Sponsor reasonable access to Investigator, Co-Investigators and Hospital staff working in the Clinical Study for the purpose of progress reviews, internal reporting and other matters related to the Clinical Study, including, without limitation, meetings with authorized regulatory body representatives.

WMC Resources acknowledges that in providing the Services, Alumina Ltd may require access to the services of certain key employees of the WMC Resources Group (set out in the Schedule) during the Transition Period. Any such access to these key personnel will not be unreasonably refused by WMC Resources provided such personnel are still employed by WMC Resources. Similarly, WMC Resources may require access to the services of certain key employees of the Alumina Ltd Group (set out in the Schedule) during the Transition Period. Any such access to these key personnel will not be unreasonably refused by Alumina Ltd provided such personnel are still employed by Alumina Ltd.
Access to Personnel. Practice shall have reasonable access to T. ------------------- Xxxxx Xxxxx for assistance with practice development and efficiency, Xxxxxx X. Xxxxxxxxx for assistance with optometric affiliations, Xxxxxx X. Xxxxxxxx for assistance with physician affiliations, and Xxxxx X. Xxxxxxx for assistance with managed care contracts, or, in lieu of any of the aforementioned individuals, any replacements, successors or other similarly qualified individuals.
Access to Personnel. TIAA will provide CREF with ongoing, direct, and immediate access to TIAA’s compliance personnel and shall cooperate with CREF’s Chief Compliance Officer in carrying out CREF’s obligations under Rule 38a-I to oversee the compliance program of TIAA.
Access to Personnel. TC Services will provide CREF with ongoing, direct, and immediate access to TC Services’ compliance personnel and shall cooperate with CREF’s Chief Compliance Officer in carrying out CREF’s obligations under Rule 38a-1 to oversee the compliance program of TC Services.
