Records; Information. An Issuing Company must keep such records and supply to the Plan Administrator or Trustee such information regarding its Contracts as may be reasonably necessary for the proper administration of the Plan.

(a) Each Grantor agrees to maintain, at its own cost and expense, such complete and accurate records with respect to the Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets owned by it, as is consistent with its current practices, but in any event to include complete accounting records indicating all payments and proceeds received with respect to any part of the Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets and, at such time or times as the Collateral and Intercreditor Agent (acting at its own discretion or upon the instruction of any Voting Creditor Representative) may reasonably request, permit authorized representatives of the Collateral and Intercreditor Agent (i) to inspect all records and documents relating to the properties of such Grantor constituting Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets in the possession of any federal, state or municipal authorities and shall sign or cause to be signed any documents reasonably required for this purpose, and (ii) to visit and inspect the properties of any Grantor constituting Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets and any or all books, records and documents in the possession of any such Grantor relating to the Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets and to take extracts therefrom and to visit and inspect the Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets and to verify under reasonable procedures the validity, amount, quality, quantity, value, condition and status of the Collateral, or prior to the delivery of the Interest Rate Adjustment Certificate, the Collateral Assets all upon reasonable prior notice and at such reasonable times during normal business hours and as often as may be reasonably requested. For the avoidance of doubt, all documents or other information (including summaries or extracts prepared therefrom) to which the Collateral and Intercreditor Agent shall have been given access to pursuant to this Section 9.1(a) shall be subject to the provisions of Section 2.3(c).

Mortgagor shall provide to the Mortgagee: (a) quarterly maintenance reports on or before the sixtieth (60th) after the end of each of the first three calendar quarters and (b) on or before the ninetieth (90th) day after the end of the last quarter for any given year; (b) monthly usage reports on each Repayment Date setting forth the total Flight Hours flown for each Aircraft and each Engine for the one month period immediately prior to such Repayment Date; (c) upon request of the Mortgagee, copies of all or a portion of the Records or any other information then available to Mortgagor regarding the location, use and maintenance of the Aircraft.

In those instances where it is necessary to charge the Union for copies the cost shall be $0.10 per page for documents that are 8.5" x 11" and 8.5" x 14" and the actual costs of reproducing documents that are unable to be copied by the County. The Union shall be charged $25.00 per CD or DVD. If the Union provides the electronic media, there will be no charge.

Subject to applicable law, upon termination of this Agreement, Seller shall provide to Purchaser electronic copies of the data and other information relating to the Contracts Cardholders that were provided or generated during the Transition Term, in a format reasonably requested by Purchaser. Seller may maintain backup copies of all such information for its own files.
