Pilot Plant. The pilot plant used in the Camden Mineral Concentrate Operations and all ancillary personal property required for its operation and maintenance, including feed module (including xxxxxx, feed conveyor, variable speed drive, and all attachments thereto); transfer conveyor (including motor and all attachments thereto); feed preparation module (including trommel screen, feed xxxxxx, feed pump, and all attachments thereto); desliming module (including cyclones, sumps, pumps, and all attachments thereto); spiral plant (including sumps, pumps, spirals, samplers, motor control center, and all attachments thereto); pond water supply pump and float, and all attachments thereto; phase converter; and interconnecting piping between modules and between modules and the water source for the pilot plant ( collectively, the "Pilot Plant").

Pilot Plant. The Pilot Plant will be used solely by ASTER for the purpose of producing RPP specialty products for sale to end users from paint sludge provided by EPI and at the request of EPI as well as for the development, testing and approval process of additional RPP family of products. The parties shall agree on a mutually satisfactory budget of material produced. The initial goals appear in Appendix A hereto. All proceeds from the sale of RPP products produced by the pilot plant will go directly to EPI.
Pilot Plant. “Pilot Plant” means the stand alone pilot plant described on Section 1.146 of the Seller Disclosure Schedule.
Pilot Plant. Notwithstanding Sections 10.1 and 10.2 hereof, in the event that Agent seeks to hold, sell, lease, liquidate, collect, realize upon, or otherwise dispose of any Collateral that constitutes furniture, trade fixtures or Equipment on the first (1st) floor of the building located at, and commonly known as, 0000 Xxxxxx Xxxxxx, Emeryville, California 94608 (such furniture, trade fixtures and Equipment, the “Pilot Equipment”), prior to any such hold, sale, lease, liquidation, collection, realization upon, or other disposition, Agent shall first give Total the opportunity by written notice to purchase such Pilot Equipment from Agent at the fair market value of such Pilot Equipment at the time of such sale and Total shall have ten (10) Business Days following receipt of such notice to irrevocably elect to complete such purchase (such right, the “Right of First Refusal”). If Total elects to exercise the Right of First Refusal, the Agent shall sell, and Total shall purchase, all, but not less than all of the Pilot Equipment within 30 days of the election of the Right of First Refusal. Agent shall, at Total’s sole cost and expense, execute such bills of sale or other instruments that Total may reasonably request in order to evidence such purchase and sale. Any purchase and sale under this Section 10.5 shall be “as is, where-is” without any warranty. The failure of Total to respond to such written notice or affirmatively elect to exercise the Right of First Refusal within such ten Business Day period shall be deemed a rejection of the Right of First Refusal. If Total rejects such Right of First Refusal, Agent may freely seek to hold, sell, lease, liquidate, collect, realize upon, or otherwise dispose of such Pilot Equipment in accordance with the terms hereof. The parties hereto acknowledge that Total is a third-party beneficiary of this Section 10.5.

Pilot Plant. Tenant is currently defining specifications for its Pilot Plant and will explore potential locations in Premises, Building and Project once the requirements have been defined. If Tenant decides it does not wish to locate the Pilot Plant in the Premises, Landlord and Tenant shall cooperate in good faith to explore possibilities for locating the Pilot Plant in properties owned by Landlord or its affiliates in the vicinity of the Project, including, without limitation, the Project’s south yard. In connection therewith, Landlord is willing to explore the potential acquisition of the adjacent gas station property; provided that Landlord shall not have any obligation to acquire such property and neither party shall have any obligation hereunder to enter into a lease with respect to such Pilot Plant.
