Payment of Accrued Benefits. Notwithstanding anything else herein to the contrary, all Accrued Benefits to which the Executive (or the Executive’s estate or beneficiary) is entitled shall be payable in cash promptly upon the effective date of termination, except as otherwise specifically provided herein, or under the terms of any applicable policy, plan, or program; provided, that all Accrued Benefits shall be paid no later than December 31 of the calendar year immediately following the calendar year of the Executive’s termination.

(iv) Such fully vested and non-forfeitable employee benefits, if any, as to which the Participant may be entitled under the employee benefit plans of the Company.

Upon the termination of this Agreement by either party for any reason, or upon the expiration of the Term, the City will pay to City Attorney the cash equivalent of all leave benefits, then accrued as of the date of the termination, subject to the conditions set forth in Section 4.3.

Payment of Accrued Benefits. Regardless of the reason for the termination of your employment with the Company, in connection with such termination the Company will pay you (on or within 30 days following your Termination Date) any base salary that had accrued but had not been paid (including accrued and unpaid vacation time) on or before your Termination Date, any reimbursement due to you for business expenses incurred by you on or before your Termination Date (in accordance with the Company’s business expense policies and procedures as may exist from time to time) and you will be entitled to any benefits that are due to you under the Company’s 401(k) plan in accordance with the terms of that plan. If you hold any stock options or other equity or equity-based awards granted by the Company, the terms and conditions applicable to those awards will control as to the consequences of a termination of your employment on those awards.
Payment of Accrued Benefits. Promptly following Closing and in accordance with applicable law and Seller's plans and policies, Seller and GI shall pay and satisfy all of their obligations to the Transferred Employees as of the Closing Date relating to any accrued salary, bonuses or employee benefit plans covering such Persons other than for accrued vacation benefits assumed by Buyer in accordance with Section 9.12.
