Department Rights. All departments, as defined in Article 7, have the following rights and parameters. The District is responsible for ensuring that other District bodies do not assume the roles or subsume the rights of departments, as defined below.

Department Rights. The Department hereby retains and reserves unto itself, without limitation, all powers, rights, authority, duties and responsibilities conferred upon and vested in it by the Constitution of the United States, the Constitution of California, the laws of the United States, the laws of California and the ordinances and resolutions of the City of Burlingame and Town of Hillsborough and shall be limited only by the express and specific terms of the Memorandum.
Department Rights. 1.32. In the event that the Contractor fails to comply with any of the requirements set out in this Schedule the Department reserves the right to take such remedial action under this Contract as it considers appropriate in the circumstances, which may include but is not limited to requiring the Contractor to terminate an existing Sub-Contract and/ or prohibiting the Contractor from entering enter into any new Sub-Contract to deliver the Services under this Contract. Department Rights. On and from the later of: the Date of this Agreement; or where the Department has approved the Participant's acquisition of an interest in a Proposed Property in accordance with clause 7.4, the date the Participant becomes the registered proprietor of an interest in the Property, the Participant irrevocably: charges its rights, title and interest in and to the Property and the Works in favour of the Department; agrees that the Department has the right to register and maintain a caveat against the title of the Property until such time as the conditions imposed under this Agreement have been fully satisfied or discharged; and agrees to sign all consents, as required by the Department to the lodgement of caveats against the title of the Property in the form required by the Department from time to time to prevent the lapsing, or withdrawal, of any caveat.
Department Rights. The Department reserves the right to: • Select for agreement or for negotiations a proposal other than that with the lowest costs; • Reject any and all proposals received in response to this RFP; • Make no award; • Issue a new RFP; • Waive any informalities, irregularities, or inconsistency in proposals received; • Request modification to proposals from any or all proposers during the review and negotiation; • Negotiate any aspect of the proposal with any Consultant and negotiate with more than one Consultant at the same time; • Make partial awards; • Increase or decrease quantities; • Reject any request that shows any omission, alterations of forms, additions not called for, conditions, or alternate proposals; • Deny any and all exceptions to the RFP requirements; • Reject any non-responsive or non-conforming proposals; • Make any such award as is deemed to be in the best interest of the State of Delaware.
