Changes to SOWs. Changes to any applicable SOW shall be made only in a mutually executed written change order between RingCentral and Customer (a “Change Order”), outlining the requested change and the effect of such change on the Services, including without limitation the fees and the timeline as determined by RingCentral in its reasonable discretion. RingCentral shall have no obligation to commence work in connection with any Change Order until the Change Order is agreed upon by both Parties in writing. RingCentral has no obligation to provide any Professional Services outside the scope of an SOW.

Changes to SOWs. If the scope of work of a SOW changes, then the applicable SOW may be amended as provided in this Section 6.3(a). If a required modification to a SOW is identified by Alnylam, or by Manufacturer, the identifying party will notify the other party in writing as soon as reasonably possible. Manufacturer will provide Alnylam with a change order containing a description of the required modifications and their effect on the scope, fees and timelines specified in the SOW (“Change Order”) and will use reasonable efforts to do so within [***] business days of receiving or providing such notice, as the case may be. No Change Order will be effective unless and until it has been signed by authorized representatives of both parties. If Alnylam does not approve such Change Order, and has not terminated the SOW, but requests the SOW to be amended to take into account the modification, then the parties will use reasonable efforts to agree on a Change Order that is mutually acceptable. If practicable, Manufacturer will continue to work on the existing SOW during any such negotiations, provided such efforts would facilitate the completion of the work envisioned in the proposed Change Order, but will not commence work in accordance with the Change Order until it is authorized in writing by Alnylam.

Requests for changes will be submitted to the other party in writing for consideration of feasibility and the likely effect on the fees and the Professional Services. The parties will document any agreed upon changes in mutually executed Change Orders.

SurveyMonkey may, at its discretion, consider such Change Order Request, but SurveyMonkey has no obligation to do so. If SurveyMonkey elects to consider such a Change Order Request, then SurveyMonkey will promptly notify Customer if SurveyMonkey believes that the Change Order Request requires an adjustment to the fees or to other parts of the SOW for the performance of the Professional Services. In such event, the parties will negotiate in good faith a reasonable and equitable adjustment to the SOW. SurveyMonkey will continue to perform Professional Services pursuant to the existing SOW and will have no obligation to perform any Change Order Request unless and until the parties have agreed in writing to adjust the SOW.

Changes to SOWs. Xxxxxxx may direct changes to SOW’s and/ or Purchase Orders through issuance of a change order in Xxxxxxx’x electronic purchasing system. If any change causes an increase or decrease in the cost of, or the time required for, performing the SOW and/ or Purchase Order, an equitable adjustment will be made to the SOW and/ or Purchase Order price, delivery dates or both. Xxxxxxx may deny any request for adjustment under this provision unless it is asserted in writing (including the amount of the request and supporting documentation substantiating the request) and delivered to Xxxxxxx within 30 days from the date of Supplier’s receipt of the Xxxxxxx-directed change to the SOW and/ or Purchase Order. Any adjustment must be mutually agreed to by the Parties in writing. Notwithstanding any disagreement between the Parties regarding the impact of a change, Supplier will proceed diligently with its performance under the SOW and/ or Purchase Order as changed pending resolution of the disagreement.
Changes to SOWs. If the scope of work within an SOW is required to be changed (or if the parties mutually agree to such change), then the applicable SOW may be amended as provided in this Section 5.2(a). If a required modification to an SOW is identified by Asterias or by Cognate, the identifying party will notify the other party in writing as soon as reasonably possible. Following identification by either party of any such required modification, Cognate will provide Asterias with a change order containing a description of the required modifications and their effect on the scope, fees, costs, expenses and timelines specified in the applicable SOW previously executed by the parties (“Change Order”). No Change Order will be effective unless and until it has been signed by authorized representatives of both parties. Asterias will be responsible for all additional fees, costs and expenses specified as payable by Asterias in any Change Order due to continued performance under any existing SOW as modified by such Change Order, whether the modifications are proposed by Asterias or Cognate.
Changes to SOWs. Either Party may propose changes to a binding SOW, but no proposed changes shall be implemented until a relevant Change Order, in the form of Appendix 2 attached hereto, has been signed by both Parties.
