Changes to SOW. Each Party may request changes that affect the scope, duration or any other aspect of the Services relating to any SOW, including changes in the Specifications and Deliverables. Each Party also may request a change in the Schedule without changing the scope of the applicable SOW. The designated Project Manager of the requesting Party will review the proposed change and determine whether to submit it to the other Party. If a Party requests any such change, Airspan shall notify Gogo if it believes that an adjustment in the fees to be paid to Airspan with respect to the applicable SOW, or an adjustment to the applicable Schedule, is required. The Parties’ Project Managers shall then negotiate in good faith a reasonable and equitable adjustment in each or any of the applicable fees, Deliverables, Services, Schedule or Specifications. Airspan shall continue to perform pursuant to the existing SOW, and neither Party shall be bound by any change requested by the other Party, until such change has been accepted in writing by the other Party.

Changes to SOW. During the performance of Services, DataBank or Customer may, at any time prior to acceptance, reasonably request a change to any SOW. Any requested change that the parties mutually accept (a “Change”) will be agreed to in a writing signed by both parties that specifically references the relevant SOW. With respect to each Change, DataBank will promptly prepare and provide to Customer a proposed change order identifying the reasonably anticipated impact and setting forth any applicable adjustments in the performance schedule or Technical Services Fees under the relevant SOW. If, in DataBank’s commercially reasonable judgment, any Change requested by Customer requires DataBank to perform additional discovery and design Technical Services in order to assess the impact of such proposed Change and prepare and provide the proposed change order described above, then the parties shall use commercially reasonable efforts to mutually agree upon a schedule for such additional discovery and design Technical Services and Technical Services Fees for such additional discovery and design Technical Services. By request of Customer, DataBank will continue performing Technical Services in accordance with the applicable SOW until the parties mutually agree to the proposed change order, at which time such proposed change order will become a “Change Order” for all purposes of this Agreement. Changes to SOW. WDT may request reasonable changes to the SOW prior to completion. No such proposed changes, including without limitation any associated changes in the price, payment schedules, and projected completion dates, shall be effective unless accepted in writing by authorized representatives of both the parties. WDT may reasonably request in writing that revisions be made with respect to the Services or deliverables set forth in a SOW (each, a “Change Order”). If a Change Order recites revisions that materially increase the scope of the Services or the effort required to deliver deliverables under the applicable SOW, then within 5 business days after Consultant’s receipt of such Change Order, Consultant will deliver to WDT a written, revised SOW reflecting Consultant’s reasonable determination of the revised Services, deliverables, delivery schedule, and payment schedule, if any, that will apply to the implementation of the revisions. If WDT approves the revised SOW, then the parties will execute it, and upon execution, the revised SOW will supersede the then-existing SOW. If WDT does not approve the revised SOW within five (5) business days after its receipt, the then-existing SOW will remain in full force and effect, and Consultant will have no further obligation with respect to the applicable Change Order.

Changes to SOW. In the event that a Party wishes to propose a change to the SOW, such Party will present a written change request to the JSC.
