Manufacturing Process definition

Manufacturing Process means any process for—
Manufacturing Process means any and all processes (or any step in any process) used or planned to be used by Manufacturer to Manufacture Product, as evidenced in the Batch Documentation or master Batch Documentation.
Manufacturing Process has the meaning set forth in Section 4.7.2.

  • Customer acknowledges that the terms and conditions, including technology transfer and any payments due, under the Technology License are separate and distinct from the terms and conditions, including any payment due, under a technology transfer agreement for the Manufacturing Process, as set forth in Clause 10.6.

  • Customer may, upon providing written notice to Lonza, have the Manufacturing Process (as provided by Customer and excluding any Lonza Intellectual Property) transferred to itself or to a Third Party manufacturer by Customer without the requirement of a separate technology transfer agreement.

  • The technology transfer will be subject to a fee for Lonza’s services and technical support and, where the Manufacturing Process is provided by Lonza and/or includes any Lonza Intellectual Property, a licensing fee (the “Technology Transfer Licensing Fee”).

  • Lonza will not include in the Manufacturing Process any Lonza Confidential Information or Lonza Background Intellectual Property that would require Customer to pay any Technology Transfer Licensing Fee in order to transfer the Manufacturing Process to itself, its Affiliates and/or any Third Party, without first obtaining Customer’s prior written consent and advising Customer as to the applicable anticipated Technology Transfer Licensing Fee, which the Parties shall agree upon in advance in writing.

  • If Customer has provided such written consent and the Manufacturing Process includes the use of any such Lonza Confidential Information or Lonza Background Intellectual Property which trigger a Technology Transfer Licensing Fee, then Customer will pay to Lonza the Technology Transfer Licensing Fee.

Manufacturing Process means any action, operation or treatment embracing chemical, industrial, manufacturing, or processing factors, methods or forms including, but not limited to, furnaces, kettles, ovens, converters, cupolas, kilns, crucibles, stills, dryers, roasters, crushers, grinders, mixers, reactors, regenerators, separators, filters, reboilers, columns, classifiers, screens, quenchers, cookers, digesters, towers, washers, scrubbers, mills, condensers or absorbers.
