Requests for Changes. The City shall be entitled, upon request and without expense to receive copies of the policies, declaration page and all endorsements as they apply to the limits required by the City, and may require the deletion, revision, or modification of particular policy term, condition, limitation, or exclusion (except where policy provisions are established by law or regulation binding upon either of the Parties, or the underwriter of any such policies). Developer and/or Developer’s contractor shall comply with any such request and shall submit a copy of the replacement certificate of insurance to City within ten (10) days of the requested change. Developer and/or Developer’s contractor shall pay any costs incurred resulting from said changes. All notices under this Article shall be given to the City and the Board at the addresses listed under Section 17.1 of this Agreement.

All requests for Changes by Spansion shall be communicated to AMD through the Spansion Services Manager, his or her supervisor, or his or her authorized designee.

Requests for Changes. All requests by a Party for Changes during a Project must be communicated in writing by the requesting Party’s Project Manager to the other Party’s Project Manager. Requests for Changes will include the following information: (i) a detailed description of the Change requested; (ii) the business, technical, and financial justification for the Change; (iii) the price and capital costs (if separate) associated with the Change; (iv) the projected schedule for the Change; (v) the priority of the Change; and (vi) if known at the time the Change request is made, the change in pricing under the SOW, if any, resulting from such Change.

If Customer wishes to implement changes in any Services during the term of an applicable Service Attachment, Customer must request those changes in writing and must deliver the request to Asiacell. Asiacell shall review and return the request to Customer with a written evaluation of the changes, including any cost associated with the changes and the impact the changes will have on the completion of the Services. Following its review of Asiacell’s evaluation, Customer then may choose to approve the changes by signing and returning to Asiacell a copy of Asiacell’s written evaluation, which then will be subject to the terms of this MSA and any applicable Service Attachment. No changes in any Service Attachment will be effective until Asiacell receives such a Customer-signed evaluation of a written change request. FEES FOR SERVICES | PAYMENT TERMS Fees for Services are set forth in Service Attachments. Any services performed outside the Service Attachments will be at Asiacell’s then-current time and material rates unless otherwise agreed in writing. Invoicing Requirements Asiacell shall deliver to Customer a monthly invoice in advance of the following calendar month. Each invoice generally will include (1) the Service Fees owed for that month, and (2) any other applicable charges or fees for the immediately preceding month and other preceding months, including adjustments to the Service Fees.
