Change Controls. Notwithstanding anything to the contrary in SOW No. 1 or any attachment or exhibit thereto, items outside the scope of this SOW No. 1 and changes to the Content Hub Solution requested by Verizon (including changes to the Content Hub Software to address changes to Verizon applications or systems or API modification but excluding those changes implemented as part of Solution Software Release Support Services under Exhibit F) shall be subject to a Change Request for professional services with the terms and fees in such request mutually agreed upon by the Parties. Change Controls. The Parties shall include in the Manufacturing Services Agreement a reasonable change control procedure to deal with any reasonable changes to the Product Specification and other changes requested by Takeda to the extent permitted under applicable Law, or any changes required by Laws. All Third Party costs incurred by either Party for any such changes in accordance with the agreed-upon change control procedure shall be paid by Takeda if requested by Takeda or if such changes are required for commercial Product by Laws in the Territory.

Asset Essentials – Assets, GIS, and PM Schedules Implementation Consulting Package Statement of Work Purpose Dude Solutions' (DSI) Asset Essentials is designed to provide our clients with focused guidance by experienced consultants to ensure an effective and efficient implementation and a faster ROI. This includes - meeting with key stakeholders to ensure the set-up and configuration of the system will meet the client's current and future needs; location and category hierarchies are configured appropriately; workflows meet the needs of the business; available data is cleaned, aligned and imported; and end users are trained and ready for go-live.

Solution API (excluding partner API changes which are provided pursuant to SOW No. 5) support, regular maintenance releases and onboarding of up to two (2) new API partners per calendar month are included in per Subscriber fee. Any such fees are in addition to the fees set forth above.
Change Controls. Purchaser shall require that suppliers-provide notice of any proposed change to the API, Novel Excipient or Materials, including process specifications, validation and/or controls, as well as the manufacturing and/or packaging of the API, Novel Excipient or Materials. Supplier shall not be responsible for any failure by any supplier to provide such notice.
Change Controls. Fees associated with Change Controls shall be based on the titles and hourly rates provided on Attachment 18, Financial Response Form, General Rates tab (of Contractor’s proposal). Change Orders to modify the system to accommodate changes (e.g., Legislative, policy, procedure, etc.) shall also be payable under this five (5) year term with prior approval of the Office of the State Comptroller.

Supplier shall require that API supplier, Novel Excipient supplier and suppliers of Materials will provide notice of any proposed change to the API, Novel Excipient or Materials, including process specifications, validation and/or controls, as well as the manufacturing and/or packaging of the API, Novel Excipient or Materials. Supplier shall not be responsible for any failure by any supplier to provide such notice. Purchaser shall cooperate with Supplier in addressing the failure, and if it cannot be remedied, in identifying and qualifying an alternate supplier. Such qualification shall be at Purchaser’s expense.
