Reset Screen Page definition

Reset Screen Page means [if the Specified Currency is Euro, insert: the REUTERS screen page "[ICESWAP2]" under the heading "[EURIBOR BASIS – EUR]" (as such headings may appear from time to time)][if the Specified Currency is not Euro, insert relevant Reset Screen Page] (or any successor page). The Calculation Agent shall as soon as practicable after the Reset Interest Determination Date notify the Reset Interest Rate as established by it to the Issuer, any Paying Agent and, if required by the rules of any stock exchange on which the Notes are from time to time listed, to such stock exchange and to the Noteholders in accordance with§ 12.] (2) Accrual of Interest. The Notes shall cease to bear interest as from the beginning of the day on which they are due for redemption. If the Issuer shall fail to redeem the Notes when due, interest shall continue to accrue on the outstanding principal amount of the Notes from (and including) the due date to (but excluding) the date of actual redemption of the Notes at the default rate of interest established by law.1
Reset Screen Page has the meaning given to it in Condition 4(c) (Interest Payments - Prevailing Interest Rate);
Reset Screen Page means Reuters screen “ICESWAP2” or such other page as may replace it on that information service, or on such other equivalent information service as determined by the Issuer, for the purpose of displaying the annual swap rates for euro swap transactions with a five-year maturity;

  • In the event that such mid-swap rate does not appear on the Reset Screen Page on the relevant Reset Determination Date at approximately that time, the Swap Rate will be the Reset Reference Bank Rate.

  • In the event that the relevant 12 Year Swap Ratedoes not appear on the Reset Screen Page on the relevant Reset Date, the 12 Year Swap Rate will be established by the Borrower and the Lender Committee (acting on the instructions of the Majority Lenders) in accordance with the mechanics applicable to the 10 Year Swap Rate.

Euro Swap Rate means, in relation to a Reset Period and the Reset Determination Date in relation to such Reset Period, the annual swap rate for euro swap transactions with a maturity of five years, expressed as a percentage, which appears on the Reset Screen Page as of 11:00 a.m. (Central European Time) on such Reset Determination Date.

  • Reset Screen Page means Reuters screen "ISDAFIX2" or such other page as may replace it on Reuters or, as the case may be, on such other information service that may replace Reuters, in each case, as may be nominated by the party providing or sponsoring the information appearing there for the purpose of displaying rates comparable to the Swap Rate Quotations.

Second Step-Up Date has the meaning specified in Condition 3.2.
Reset Screen Page means Bloomberg screen “USSW5 Curncy” (or any successor page or, if a successor page is unavailable, the equivalent page of Reuters or any comparable provider) as of 11:00 a.m. (New York time). “Responsible Officer” means any Senior Financial Officer and any other officer of the Company with responsibility for the administration of the relevant portion of this Agreement. “SAP” means, with respect to any Insurance Subsidiary, the statutory accounting practices and procedures, prescribed or permitted, by the relevant Insurance Regulatory Authority of its state of domicile. “Second Reset Date” is defined in Section 16.2. “Securities Act” means the Securities Act of 1933, as amended from time to time. “Senior Debt” is defined in Section 17.1. “Senior Financial Officer” means the chief financial officer, principal accounting officer, treasurer or controller of the Company. “Senior Lender” means any issuer of Senior Debt. "Solvent" means, with respect to any Person as of any date of determination, that, as of such date, (a) the value of the assets of such Person (both at fair value and present fair saleable value) is greater than the total amount of liabilities (including contingent, unliquidated and probable liabilities) of such Person, (b) such Person is able to pay all liabilities of such Person as such liabilities mature and (c) such Person does not have unreasonably small capital with which to conduct its business.
