Licensed Properties definition

Licensed Properties means such of the Properties as are held under the terms of a licence, details of which are set out in Schedule 3;
Licensed Properties means the intellectual property and proprietary rights owned or controlled by Licensor in all versions (other than versions that are co-branded with third parties (“Co-Branded Versions”)), subsequently developed versions and international versions and translations of the MONOPOLY, BATTLESHIP, CLUE (CLUEDO), YAHTZEE, THE GAME OF LIFE and MOUSE TRAP board games sold by Licensor, including without limitation their respective attributes, associated logo(s), names, characters, symbols, designs, likenesses, visual representations, style elements, artwork, trademarks, trade dress, copyrighted elements, rules, features, game play and game mechanics, and patents owned or controlled by Licensor and used in any of the foregoing board games (provided, however, that if there is a third-party license fee or royalty for use of any such patent, then Licensor shall inform Licensee of such patent and Licensee shall be solely responsible for payment of the license fee or royalty and Licensee covenants and agrees to pay the same). Licensor represents and warrants that there is no such patent owned or licensed by Licensor and used in the current versions of the MONOPOLY, BATTLESHIP, CLUE (CLUEDO), YAHTZEE, THE GAME OF LIFE and MOUSE TRAP board games for which Licensee would be responsible for payment of a license fee or royalty as provided in the immediately preceding sentence. In no event shall Licensee have the right to utilize the Licensed Properties as depicted in or adapted for any live action presentation, audio program or recording, theatrical motion picture, direct-to-video program, or television program, series or game show.
Licensed Properties means, collectively, the Licensed Software and Licensed Marks.

  • Licensor shall also have prior approval over all uses of the Licensed Properties in press releases and any social media posts made by Licensee and, for clarity, shall have the right to pre-approve the media outlets over which any of Artist’s quotes are distributed.

  • Licensor shall not itself exploit the Licensed Properties in the Territory in any manner during the Term other than through the Licensee and the Tripod Site (but only to the extent the same is accessible within the Territory).

  • Licensee shall possess or obtain at its own expense all necessary licenses and permits and shall comply with all laws, ordinances, rules or regulations affecting the importation into and/or resale or transfer of Licensed Properties.

  • Licensee shall not license anyone to use the Licensed Properties for any purpose or knowingly permit anyone other than full and part time employees of the Licensee (including attorneys, accountants, advisors, consultants and independent contractors) to use the Licensed Materials.

  • Licensee shall not use, sell, license, sublicense or otherwise transfer any of the Licensed Properties except as authorized under this Agreement.


More Definitions of Licensed Properties

Licensed Properties means: (i) the Game, and all games and elements embodying the essential play pattern, the rules and/or the “look and feel” of the Game, including, without limitation, any of Licensor’s patents, design scripts, screen displays, audiovisual works, the source code and object code for any software included therein, and Licensor’s copyrights and other rights related thereto; (ii) the Tetris Marks; (iii) the Tetris Music; and (iv) any sequels, updates or derivatives to any of items described in the foregoing clauses (i) to (iii) developed by or on behalf of Licensor during the Term. The Licensed Properties include, without limitation, those items listed in Appendix A, attached hereto, and shall also include any sequels, updates or derivatives thereof developed by or on behalf of Licensor during the Term.
Licensed Properties means the following: Philadelphia Phillies word mark and logo. When using the Licensed Properties, Licensee must faithfully reproduce their design and appearance shown in the then-current Major League Baseball Official Style Guide. Licensee must not alter the Licensed Properties in any manner. The Licensed Use governed by this Agreement is limited to the following media, language and territory (the “Licensed Media”): (a) Internet and other interactive media only; (b) all elements in the English language only; and (c) all elements targeted primarily to individuals residing in the United States of America.
Licensed Properties means C&C owned or controlled characters, animated characters and visual images related to the C&C Franchise featuring Cheech and Chong as listed in Schedule A attached hereto.

For the avoidance of doubt, a Web Site or App may also enable access to Internet Channels, and the availability of said Internet Channels shall not cause the Web Site or App to fall outside the scope of the definition of the termLicensed Property” hereunder.
Licensed Properties means the MLB Marks, MLB Designations, MLB Intellectual Property, and MLB Footage as follows and Licensee must include the then-current applicable title or presenting sponsor(s) for the medium to be utilized for each, as designated by Licensor, and for which Licensor shall provide Licensee advance written notice:
