Licensed Intellectual Property definition
Licensed Intellectual Property means all Intellectual Property in which the Company holds any rights or interests granted by other Persons, including Seller or any of its Affiliates.
Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.
Licensed Intellectual Property means any and all Intellectual Property owned by a third party and licensed or sublicensed (or purported to be licensed or sublicensed) to either the Company or any of its Subsidiaries or for which the Company or any of its Subsidiaries has obtained a covenant not to be sued.

The Company Group is not subject to any outstanding or prospective Order (including any motion or petition therefor) that does or could reasonably be expected to restrict or impair the ownership or use of any Company Intellectual Property or, to the Company’s Knowledge, Licensed Intellectual Property.
Except as otherwise set forth in Section 3.03 or 3.10(d) of the Disclosure Schedule, neither the execution, delivery, or performance of this Agreement, nor the consummation of the transactions contemplated hereunder, will result in the loss or impairment of, or require the Consent of any other Person in respect of, the Company Group’s right to use any material Licensed Intellectual Property.

Licensed Intellectual Property has the meaning set forth in Section 3.12(a).
