Neither the execution of this Agreement nor the consummation of any Transaction shall materially adversely affect any Group Company’s rights with respect to the material Company Owned Intellectual Property or the Company Licensed Intellectual Property.
The Company Owned Intellectual Property and the Company Licensed Intellectual Property, to the Company’s Knowledge, constitute all of the Intellectual Property used or held for use by the Company or its Subsidiaries in the operation of their respective businesses, and all Intellectual Property necessary and sufficient to enable the Company and its Subsidiaries to conduct their respective businesses as currently conducted in all material respects.
To the knowledge of the Company, there are no pending or, to the knowledge of the Company, threatened Actions by any person alleging the validity, enforceability, ownership of or the right to use any Company Owned Intellectual Property or any Company Licensed Intellectual Property.
None of the Company Owned Intellectual Property and, to the Company’s Knowledge, none of the Company Licensed Intellectual Property is subject to any outstanding Order that restricts in any manner the use, sale, transfer, licensing or exploitation thereof by the Company or its Subsidiaries or affects the validity, use or enforceability of any such Company Owned Intellectual Property.
The Company and its Subsidiaries, and to the knowledge of the Company, the other parties thereto are not in material breach of any of the license agreements covering the Company Licensed Intellectual Property.
