Licensee Improvements definition

Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.

Licensee Improvements has the meaning set forth in Section 4.2.

Examples of Licensee Improvements in a sentence

• If LICENSEE develops any Licensee Improvements, LICENSEE will promptly provide LICENSOR with written notice of such Licensee Improvements to validate LICENSEE’S claim to Licensee Improvements.

• If the Licensor gives the Licensee written notice of any failure on the part of the Licensee to comply with any requirement relating to the Licensor Improvements, Licensee Improvements and/or Land pursuant to this Licence then the Licensee will, with all reasonable speed and at the sole cost of the Licensee, remedy those defaults.

• Upon termination of this Agreement by either party, the Licensee shall, within thirty (30) days and at its expense, remove the Licensee Improvements and restore the Licensed Premises to substantially its original condition, reasonable wear and tear excepted.

• Licensee shall have the right, at its own expense and without expense to the Village, to contest by appropriate proceedings, conducted with due diligence and in good faith, the validity of the amount of any taxes or reassessment as applicable to the Licensed Premises or the Licensee Improvements.

• The Licensor and the Licensor’s employees, agents, contractors and invitees may at all reasonable times enter the Licence Area to inspect the Licensor Improvements, Licensee Improvements and Land.

More Definitions of Licensee Improvements

Licensee Improvements means Improvements to the Platform conceived, crafted, acquired or made by or on behalf of Licensee after the date hereof, including all intellectual property rights therein or thereto.

Licensee Improvements means derivatives, improvements, modifications, or enhanced specifications relating to a TCC package, or related materials, that may infringe a Tessera Patent or may be made or incorporated in a TCC package by or for Licensee.

Market means, in relation to a Licensed Product, offering to sell, lease, licence or otherwise commercially exploit the Licensed Product or the sale, lease, licence or other commercial exploitation of the Licensed Product.

Licensee Improvements means any improvements constructed, placed or located on the Licence Area by the Licensee.

Licensee Improvements means any further technological developments of the Technology developed by Licensee during the term of this Agreement and owned or controlled by Licensee.
