Licensee Improvements definition

Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.
Licensee Improvements has the meaning set forth in Section 8.1(d).
Licensee Improvements means improvements, variations, updates, modifications, and enhancements made and/or acquired at any time after the Start Date by the Licensee or any sublicensees of the Licensee relating to the Technology which cannot be legally used or practiced without infringing the Technology licensed under this Agreement, as well as all data generated by or on behalf of the Licensee in the course of the Technology Validation Project;

Examples of Licensee Improvements in a sentence

  • If LICENSEE develops any Licensee Improvements, LICENSEE will promptly provide LICENSOR with written notice of such Licensee Improvements to validate LICENSEE’S claim to Licensee Improvements.

  • Without limiting the foregoing, Licensee shall notify Licensor of any Licensee Improvements, plug-ins or other applications that may adversely impact the Licensed Software, Infrastructure, or their performance prior to implementation so that Licensee and Licensor may work together in good faith to determine any potential impact of such Software and/or workarounds.

  • Licensor and Licensee shall meet at least [***] during the term of this Agreement at a time and place mutually agreed upon by the parties to disclose Licensor and Licensee Improvements.

  • The provisions of this Section 6.C shall not apply to any part of the Premises acquired by Lessee through exercise of Lessee’s Option to purchase the Premises.

  • Licensee shall grant to Licensor a license to the Licensee Improvements in the Licensor Field of Use pursuant to a license agreement to be entered into, which will include terms substantially equivalent to those provided in this Agreement.


More Definitions of Licensee Improvements

Licensee Improvements means all discoveries and/or inventions (whether patented or not) conceived or reduced to practice (actual or constructive) solely by LICENSEE as between the parties during the term of this Agreement that constitute a modification, improvement or variation of the Licensed Subject Matter.
Licensee Improvements means Improvements created, conceived, or reduced to practice by or for Licensee.
Licensee Improvements has the meaning set forth in Section 4.2.
Licensee Improvements means any Improvements made prior to the second anniversary of the date of this agreement by the Licensee, and the Intellectual Property Rights pertaining to them which shall include, for the avoidance of doubt, any Improvements and Intellectual Property Rights developed by an Inventor pursuant to any employment or consultancy arrangement with the Licensee. Market means, in relation to a Licensed Product, offering to sell, lease, licence or otherwise commercially exploit the Licensed Product or the sale, lease, licence or other commercial exploitation of the Licensed Product.
Licensee Improvements means derivatives, improvements, modifications, or enhanced specifications relating to a TCC package, or related materials, that may infringe a Tessera Patent or may be made or incorporated in a TCC package by or for Licensee.
Licensee Improvements improvements, variations, updates, modifications, and enhancements made solely by the Licensee or any sublicensee of the Licensee relating to the Technology at any time after the Commencement Date;
Licensee Improvements means Improvements to the Platform conceived, crafted, acquired or made by or on behalf of Licensee after the date hereof, including all intellectual property rights therein or thereto.
