Xxxxxxxx Services. If you access or use any Hosted Services in the specially isolated Amazon Web Services (“AWS”) GovCloud (US) region (including without limitation any Hosted Services that are provisioned in a FedRAMP authorized environment), you represent and warrant that users will only access the Hosted Services in the AWS GovCloud (US) region if users: (i) are “US Person(s)” as defined under ITAR (see 22 CFR part 120.15); (ii) have and will maintain a valid Directorate of Defense Trade Controls registration, if required by ITAR; (iii) are not subject to export control restrictions under US export control laws and regulations (i.e., users are not denied or debarred parties or otherwise subject to sanctions); and (iv) maintain an effective compliance program to ensure compliance with applicable US export control laws and regulations, including ITAR, as applicable. If you access or use any Hosted Services in an IL5 authorized environment, you further represent and warrant that only users who are US citizens will access the Hosted Services. You are responsible for verifying that any user accessing Customer Content in the Hosted Services in the AWS GovCloud (US) region is eligible to access such Customer Content. The Hosted Services in the AWS GovCloud (US) region may not be used to process or store classified data. You will be responsible for all sanitization costs incurred by Splunk if users introduce classified data into the Hosted Services in the AWS GovCloud (US) region. For selected FedRAMP authorized regions, you may be required to execute additional addendums to this agreement prior to provisioning of Hosted Services.
Xxxxxxxx Services. A.Professional Services
Xxxxxxxx Services. Inpatient and outpatient rates will be based upon the final contracted rate.
Xxxxxxxx Services. Medically necessary treatments or services ordered by a physician for the Insured who is admitted to a hospital.
Xxxxxxxx Services. In return for the Services Fee, Xxxxxxx will assist Overstock and the Architect with the design of the Improvements and, in consultation with Overstock, will initiate, coordinate and administer all planning, design, engineering, construction and other activities in connection with the construction of the Improvements, as more fully described in this Section 5, subject to the terms and conditions of this Agreement (the “Services”).
Xxxxxxxx Services. Xxxxxxxx will provide, with respect to all of Xxxxxxx’s Gas, up to the applicable MDQ, Gathering, Dehydrating, Treating, Basic Processing, Cryogenic Processing, and all other services encompassed by the Fee-Types shown on Exhibit E on a Guaranteed Capacity basis. Such services do not include those services third parties are obligated to provide to Shipper for Excepted Gas pursuant to the agreements listed in Exhibit L.
Xxxxxxxx Services. D1 agrees to provide a sports trainer (“Coach”) to provide training services to Athlete. Unless such training services are provided at D1, Athlete agrees to bear all costs associated with the training services, including the costs of all equipment and rental of the building or space in which training services are provided, if any.
Xxxxxxxx Services. Offerors must describe how its technologies will guarantee security solutions such as; intrusion detection, devise security integration, user authentication, secure document release, document privacy, securing data, protecting content integrity, job tracking (document in transit and at rest), printed documents, printing from mobile devices, pull printing, content management, imaging and printing fleets, network security, security compliance and audit services including cloud access. Offerors must also describe their device hard drive security procedures as defined in US Department of Defense (DoD) 5220.22-M.
Xxxxxxxx Services. XCel hereby continues to engage Xxxxxxx as an employee of XCel, with the title of “Director of Business Development” or such other title as mutually agreed upon between Xxxxxxx and Xcel, and Xxxxxxx agrees to continue to serve as an employee of XCel under the terms of this Agreement. Xx. Xxxxxxx’x employment with the Company shall be on an “at will” basis and her employment with the Company may be terminated in accordance with Section 6.
