Your Compliance. The Royal Society of Chemistry has always conducted business ethically and responsibly and we are committed to complying with the laws of each country in which we do business. As our associate it is imperative that you comply with the law, and that you respect our principles in respect of human rights, health and safety, environmental performance and animal welfare.
Your Compliance. (1) Charters are classified under the hospitality and recreational sector.The Agent, The Operator and The Charterer agree to comply with all government orders relevant to the hospitality and recreational sector and/or charters in general. This includes any orders and requirements of the Australian government relating to COVID-19.
Your Compliance. You agree that if we do not insist upon strict compliance with the terms of this Agreement, we will not have waived or otherwise given up our right to insist upon your strict compliance at a later date.
Your Compliance. You shall at all times install, load and use on the Services Third Party Software that has been lawfully obtained in accordance with the applicable terms and you shall not install, load or use any Third Party Software which (i) requires consent from the vendor to be used or loaded without first obtaining our consent and all necessary third party consents and/or (ii), by reason of any licence terms, cannot be used with the Services or (with regard to existing licenses) cannot be migrated on to the Services.
Your Compliance. You agree that during the term of this Agreement, neither You nor the Plan will negotiate or arrange or contract in any way for Rebates on or the purchase of prescription drug products from any manufacturer with respect to the pharmacy benefits. If you or the Plan does, We may, without limiting Our right to other remedies, immediately terminate Your and Plan's entitlement to Rebates (including forfeiture of any Rebates earned but not paid) and/or terminate the pharmacy benefit services. Termination of pharmacy benefit services shall constitute a change in the Agreement as described in the Service Fees Section such that We have the right to increase the services fees for medical management services under this Agreement. In addition, You agree to reasonably cooperate with Us in order to obtain Rebates. You will encourage Your Participants to use a Network Pharmacy. You will also encourage Your Participants to electronically access the PDL on Our website, and encourage Participants to share the PDL with their physicians or refer their physicians to the PDL on Our website.
Your Compliance. You agree to comply with any and all the guidelines, notices, operating rules and policies and instructions pertaining to the purchase of Products through the Platform, as well as any amendments to the aforementioned, issued by SSPL (whether as part of use of the Platform or in relation to the purchase of Products, on behalf of Seller), from time to time. SSPL reserves the right to revise these guidelines, notices, operating rules and policies and instructions at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Platform.
Your Compliance. You are responsible for the collection, use, storage and otherwise dealing with Personal Information related to your business and all matters relating to the User Data. You must, and must ensure that your personnel and your users, comply with the legal requirements of the Australian Privacy Principles as set out in the Privacy Act 1988 (Cth) and any privacy or anti-spam Laws applicable to you in respect of all Personal Information collected, used, stored or otherwise dealt with under or in connection with these Terms.
Your Compliance. You must comply with all Laws applicable to your use of AI21 Models and the data accessed through AI21 Models and your Customer Application, including without limitation, Laws related to the privacy of personally identifiable information ("Privacy Laws"), such as the European Union General Data Protection Regulation, Regulation (EU) 2016/679 ("GDPR") and the California Consumer Privacy Act, Cal. Civ. Code §§ 1798.100–1798.199 ("CCPA"). Your Customer Application must include your own user agreement and privacy policy (collectively, "End User Agreement"), which is prominently located where End Users download or access your Customer Application, and which accurately discloses to End Users how and what personal information you collect, use, store and share through your Customer Application. If you are governed by the GDPR or CCPA and will be using AI21 Models for the processing of "personal data" (as defined in the GDPR) or "Personal Information" (as defined in the CCPA), you may wish to execute our Data Processing Agreement. In no event must any End User Agreement grant any rights, impose any obligations or liabilities, or make any statements that conflict or are inconsistent with any of the terms and conditions of this Agreement (for example, the End User Agreement must not impose or purport to impose any obligation or liability on us or our Affiliates, and must not include any statement or suggestion contrary to our proprietary rights).
Your Compliance. WITH The above terms and conditions are a condition precedent to the grant of this license with regard to each individual plant included within the Shipment. As such, should Receiving Party fail, neglect, or refuse to satisfy any of the above conditions with regard to any plant, Receiving Party shall not have the right to use the Licensed Trademarks in connection with the sale and/or distribution of that plant and may be liable to CP for damages for any such unlicensed use of CP’s trademarks and/or trade dress.
Your Compliance. You agree to comply with, and to cause any agents you may employ or designate to comply with, all your obligations and responsibilities under this Agreement. You agree that Yamaha Financial Services has no control over the persons who have access to your personal computer and your password because that access information is in your possession. Yamaha Financial Services will not be liable for any unauthorized access to your personal computer using your password. You agree that it is your responsibility to initiate and maintain adequate and appropriate protections and procedures to prevent any unauthorized access to your personal computer or unauthorized use of your password with regard to the eDelivery Services.
