USER CONTENT AND FEEDBACK. You agree that by providing content, materials or information (including, without limitation, information relating to your end user customers) in connection with your use of the Service (collectively, “Your Content”),you hereby grant to us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licenceable and transferable right to use, process, store, copy, display, perform, distribute, reproduce, reformat, translate, modify and create derivative works of Your Content (including all related intellectual property rights) solely in connection with our provision of the Service. For clarity, the foregoing licence grant does not affect your ownership of or right to grant additional licenses to the material in Your Content. At times, you may be given the opportunity to submit questions, comments or other information about the Service or otherwise to us (“Feedback”). You will and do hereby grant to us a fully paid-up, royalty free, perpetual, irrevocable, non-exclusive, worldwide, fully transferable and sub-licensable licence to use, enhance, develop, copy, modify and make derivative works of the Feedback and to make, use, sell, offer for sale and import any products or services based on the Feedback.

USER CONTENT AND FEEDBACK. 4.1 Subscriber User content and submissions on the Services: The Services allow you to create tasks and submit associated information, text, files, and other materials and to share that content with others. Content submitted by the Customer (“Subscriber User Content”) is owned and controlled by the Customer. Beam maintains a limited, non- exclusive and non-transferrable (except in connection with the sale or transfer of its business) license to access, use, copy, reproduce, process, adapt, publish, transmit, host, and display Subscriber User Content for the following limited purposes: (i) to maintain, provide and improve the Services; (ii) to prevent or address technical or security issues and resolve support requests; (iii) to investigate when we have a good faith belief, or have received a complaint alleging, that such Subscriber User Content is in violation of these Terms or any applicable law or; (iv) to comply with a valid legal directive, request, or other lawful process.
USER CONTENT AND FEEDBACK. Certain features of the Services may permit you to upload to or create content on the Services ("User Content"), including text or other data. You retain copyrights, including any moral rights, and any other proprietary rights that you may hold in the User Content; provided that if you choose to export information or otherwise share information with your healthcare provider(s), such information may become part of your health record(s), and that copy of such information may be owned and/or controlled by your healthcare provider(s) under applicable law. By exporting or otherwise posting or sharing User Content with any third party (such as your healthcare provider or a Third-Party Service), you grant those third parties a non-exclusive license to access and use that User Content as permitted by these Terms of Service, to the extent permitted by the functionality of the Services. You are solely responsible for your User Content and the consequences of posting or publishing User Content. We are not responsible or liable to any third party for the content or accuracy of any User Content you create, upload, or export. You represent and warrant that (a) you own or control all rights in and to the User Content and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns and (b) your User Content does and will comply with these Terms of Service. USER CONTENT AND FEEDBACK. 3.1 Integration with Your Development Environment and Databases. The Integration Materials are designed to allow you to integrate the Service into a development environment that is hosted by you or a third party service provider (“Development Environment”). In the event that you or another Team Member choose to integrate a Development Environment with the Service, you will retain ownership of all of your rights in any data, information, materials and content stored in or accessible via such Development Environment (collectively, “Your Data”). You are solely responsible for Your Data and any Development Environment that you choose to integrate with the Service. You assume all risks associated with use of Your Data and any Development Environment, and Company is not obligated to backup any of Your Data. You hereby grant Company a non-exclusive right and license to collect, access, and process, use and reproduce metadata related to model and feature/variable performance or importance, dataset summary statistics, and other associated statistical metadata (“Metadata”) from Your Data and Development Environments for the purpose of providing the Service to you, Customer and your Team Members.

  • User Content Certain areas of the Platform may enable you to post comments, send messages, correspond with others and/or otherwise post content (“User Content”) in connection with various features that Spectra may elect to offer, such as information libraries, e-mail service, bulletin boards, chatrooms, electronic postcards, chats with special guests, e-mails, and forums to communicate with others (“Message Features”). You must use the Message Features in a responsible manner and you are fully responsible for all User Content that you provide to us or others. Your License to Us. By submitting User Content, you grant us and our designees a royalty-free, irrevocable, perpetual, non-exclusive, worldwide, fully sub-licensable, transferable, license to publish, reproduce, distribute, display, perform, edit, adapt, modify, translate, create derivative works, make, sell, offer for sale, export, and otherwise use and exploit your User Content (or any portion thereof) in any way that we want and in any form, media, or technology now known or later developed. You hereby waive any moral rights you may have in your User Content in favor of Spectra and any of its designees. You represent that you have obtained all necessary permissions necessary to grant us those rights, including from any person identified in or implicated by your submission (including those shown in photographic content), and, in the case of minors, also from their parents or legal guardians, as appropriate. No Obligation to Publish. We are not obligated to publish, transmit or use your User Content. Spectra is not in any manner endorsing any User Content that it may publish or post on the Platform and cannot, and will not, vouch for its reliability. Spectra is not responsible for any User Content and has no duty to monitor User Content. You use any information contained in User Content at your own risk. Spectra and its designees have the right, in their sole discretion, to monitor, review, edit, remove, delete, disable, refuse, restrict, or terminate access to your User Content or the Platform (in whole or in part) at any time, without prior notice and in our sole discretion, for any or no reason. The obligations that you have to us under these Terms shall survive termination of the Platform, any use by you of the Platform, any User Content on the Platform, or these Terms. You will not continue to post any User Content that Spectra has previously advised you not to post.

  • Customer Content As part of the Services provided under this Agreement, Customer Data will be stored and processed in the data center region specified in the applicable Ordering Document. Axway shall not access Customer Content except in response to support or technical issues where Customer provides Axway with prior Customer’s written authorization required to access such Customer Content. Axway is not responsible for unauthorized access, alteration, theft or destruction of Customer Content arising from Customer’s own or its authorized users’ actions or omissions in contravention of the Documentation. Customer’s ability to recover any lost data resulting from Axway’s misconduct is limited to restoration by Axway from the most recent back-up.

  • Content and Services Neither Licensor nor the provider of the wireless network is the provider of any financial services available through or related to the Software, and neither Licensor nor the provider of the wireless network or any contractor of the provider of the financial services available through or related to the Software, is responsible for any of the materials, information, products or services made available to you via the Software.

  • CONTENT UPDATES If You purchase a Symantec maintenance/support offering consisting of or including Content Updates, as indicated on Your Support Certificate, You are granted the right to use, as part of the Licensed Software, such Content Updates as and when they are made generally available to Symantec’s end user customers who have purchased such maintenance/support offering and for such period of time as indicated on the face of the applicable Support Certificate. This License Agreement does not otherwise permit You to obtain and use Content Updates.

  • THIRD-PARTY CONTENT, SERVICES AND WEBSITES 10.1 The Services may enable You to link to, transfer Your Content or Third Party Content to, or otherwise access, third parties’ websites, platforms, content, products, services, and information (“Third Party Services”). Oracle does not control and is not responsible for Third Party Services. You are solely responsible for complying with the terms of access and use of Third Party Services, and if Oracle accesses or uses any Third Party Services on Your behalf to facilitate performance of the Services, You are solely responsible for ensuring that such access and use, including through passwords, credentials or tokens issued or otherwise made available to You, is authorized by the terms of access and use for such services. If You transfer or cause the transfer of Your Content or Third Party Content from the Services to a Third Party Service or other location, that transfer constitutes a distribution by You and not by Oracle.

  • End User An “End User” is you, an individual or entity, which receives the Models from Licensee or Authorized Licensee User pursuant to this End User Agreement to use in the regular course of your affairs, but not for resale, modification, distribution or exploitation by third parties without AnyLogic’s prior written consent.

  • Software Components At any time during the contract period of performance, the Government may require the Contractor to remedy any failure of the software to comply with the requirements of this contract. Support shall consist of correction of errors, provision of modifications, improvements, and other products the original manufacturer makes available to the Government without charge. The Government shall also be provided full documentation of changes and/or modifications to the software provided to meet the Government's requirements.

You must purchase the operating system for each instance of a desktop or server separately.

  • Audit of Existing Content and Functionality By May 1, 2017, the District will propose for OCR’s review and approval the identity and bona fides of an Auditor (corporation or individual) to audit all content and functionality on its website, including, but not limited to, the home page, all subordinate pages, and intranet pages and sites, to identify any online content or functionality that is inaccessible to persons with disabilities, including online content and functionality developed by, maintained by, or offered through a third party vendor or an open source. The Auditor will have sufficient knowledge and experience in website accessibility for people with disabilities to carry out all related tasks, including developing a Proposed Corrective Action Plan. The Audit will use the Benchmarks for Measuring Accessibility set out above, unless the District receives prior permission from OCR to use a different standard as a benchmark. During the Audit, the District will also seek input from members of the public with disabilities, including parents, students, employees, and others associated with the District, and other persons knowledgeable about website accessibility, regarding the accessibility of its online content and functionality.
