The Right to Exploit clause grants one party the legal authority to use, commercialize, or otherwise benefit from certain intellectual property, products, or resources specified in the agreement. In practice, this clause may allow a licensee to manufacture and sell products based on a patented invention, or enable a publisher to distribute and profit from a creative work. Its core function is to clearly define who has the rights to utilize and profit from the subject matter, thereby preventing disputes over ownership and usage.

Right to Exploit. Each Party shall have the right to freely exploit Joint Inventions within and outside the MSD Compound Study, without any obligation or accounting to the other Party; provided, however, that MSD may not exploit any granted Joint Patents, directly or indirectly, to research, develop or commercialize a Collaborator Class Compound (except for the Collaborator Compound in Combination with the MSD Compound as permitted under this Agreement), and Collaborator may not exploit any granted Joint Patents, directly or indirectly, to research, develop or commercialize a PD-1 Antagonist (except for the MSD Compound in Combination with the Collaborator Compound as permitted under this Agreement).
Right to Exploit. For all Patents within the Lead Product IP and the Collaboration Product IP, AstraZeneca hereby covenants not to practice such Patents outside the scope of the licenses granted to AstraZeneca under Section 2 of this Agreement. For avoidance of doubt, this includes the Manufacture, use, sale or offer for sale of any Anticalin protein other than those licensed under Section 2 of this Agreement. Right to Exploit. MAX represents and warrants that it owns, or has the valid right, title and interest to exploit, transfer, license and use, all of the i.c.LiveTechnology, and has taken all actions reasonably necessary to protect the i.c.
