TAXES, ASSESSMENTS AND FEES. You agree to pay any licensing and registration fees required by the jurisdiction where the Equipment is located, all personal property taxes assessed against the Equipment and the Software, if any, and all other taxes, assessments, fees and penalties (local, state, and federal) which may be levied or assessed on the ownership, leasing, rental, sale, purchase, importation, possession, use, installation or servicing of the Equipment and the Software (collectively, “Taxes”), excluding any Taxes on or measured solely by our net income. Your Monthly Rental Payments and Monthly Service Payments shown in the Supplement do not include any applicable Tax. If any Taxes are due, we will forward the invoice or tax xxxx to you and you agree to pay the Tax by the applicable due date. We may, but are not obligated to, pay such Taxes and may file such returns on your behalf if you fail to do so, and you agree to reimburse us upon demand for any amount expended for such Taxes, including fees or penalties paid by us hereunder. Your obligations to pay such Taxes which are due or assessed during the term of this Master Agreement are in addition to your obligation for Monthly Rental Payments or Monthly Service Payments, as applicable, and will survive the expiration or termination of this Master Agreement. Notwithstanding the foregoing paragraph, if you are a tax-exempt entity, then no Taxes should be imposed on this transaction, other than property taxes, which you agree to pay as set forth above. If you fail to provide Omnicell a copy of the certificate evidencing your tax-exempt status, Omnicell may invoice you for Taxes until such time as we receive the certificate. Should your tax-exempt status change during the term of this Master Agreement, then the previous paragraph will apply from the date your change in tax status becomes effective.

TAXES, ASSESSMENTS AND FEES. Lessee shall pay and discharge all taxes, assessments, and other fees without offset or abatement, whether general or special, ordinary or extraordinary, charged by any government or quasi-governmental entity relating to the Leased Premises and/or the Improvements thereto or located (situated) thereon and/or the activities taking place on the Leased Premises including, but not limited to, leasehold or possessory interest tax, personal Property, income, excise, or any other tax, assessment, or fee that is (or may be) levied, exacted, or imposed (or become due and owing) during the term of this Agreement.

Where the term of this lease does not coincide with the property tax year, then the amount of taxes will be prorated for the remaining portion of the lease year.

TAXES, ASSESSMENTS AND FEES. Tenants agree to pay all taxes including the possessory interest tax levied by Siskiyou County on hangar tenants. The Tenants record on January 1st of each year will be billed directly by County. Tenants shall be solely responsible for the payment of all taxes, assessments, license fees or other charges that may be levied or assessed during the term of this Agreement upon or against any real property, personal property or equipment located within the Hangar or upon the premises which is owned by, leased to or in the care, custody and control of Tenants.
