Government Entity definition

Government Entity means (a) any federal, state, provincial or similar government, and any body, board, department, commission, court, tribunal, authority, agency or other instrumentality of any such government or otherwise exercising any executive, legislative, judicial, administrative or regulatory functions of such government or (b) any other government entity having jurisdiction over any matter contemplated by the Operative Agreements or relating to the observance or performance of the obligations of any of the parties to the Operative Agreements.
Government Entity means the United States, the State and City of New York, and any and every agency, department, court, commission, or other instrumentality or political subdivision of government of any kind whatsoever, now existing or hereafter created.
Government Entity means any Federal, state, local or non-U.S. government, or any court, legislature, government agency, or government commission, or any judicial or regulatory authority of any government.

Examples of Government Entity in a sentence

  • To the extent that amounts are so withheld and timely paid over to the appropriate Government Entity by the Purchaser, such withheld amounts will be treated for all purposes of this Agreement or the applicable Ancillary Agreement as having been paid to the Companies or Shareholder, as applicable.
