System Operation and Maintenance. The Company shall cause the Project to be operated and maintained in an efficient and business-like manner in accordance with the terms of the Project Documents.

(a) The Grantor shall use commercially reasonable efforts to cause the System to be maintained in efficient working order and in accordance with industry standards and the standards set forth in Schedule 1 hereto; provided that the parties hereto agree that the specifications set forth in Schedule 1 shall not apply to Local Access or any service provided Off-Net. The Grantor represents that it will provide routine, preventive and corrective maintenance for the System in a manner at least in accordance with prudent industry standards.

SureBeam shall accept packaged product into the facility labeled as having been electronically pasteurized and, in addition to any requirements of any applicable regulation, certify to Square-H and/or any customers of Square-H designated by Square-H that the product has in fact been electronically pasteurized in accordance with all applicable regulations and the specifications and procedures applicable thereto and approved by Square-H hereunder.
