Records/Costs. After completion of the construction of the Extension, Developer shall certify to the District the final design, engineering, construction and restoration costs incurred by Developer to construct the Extension and submit such supporting vouchers, invoices and other data as the District may require substantiated certified costs. The executed, notarized Agreement, all exhibits, and all supporting documentation must be submitted to the District before the Extension will be accepted by the District. Any changes or additional information requested by the District must be submitted to the District within 21 days of District notification to the Developer. District reserves the right to approve or reject the certified costs as reasonable and subject to reimbursement. The District shall allocate the cost of the Extension among Developer's property and the Benefited Properties on a pro rata share basis. However, the District reserves the right to allocate such costs in any manner conforming with applicable law and the policies of the District. Developer agrees to reimburse the District all fees, costs, charges and expenses incurred by District to prepare and set up this Agreement, including but not limited to all administrative, engineering and legal fees, costs, charges and expenses.

Subject to Section 4.1.1(d) and Article 6, each Party shall be responsible for any costs and expenses it incurs with respect to any activities conducted by such Party for the development of Development Candidates, Licensed Products and Diagnostic Products.

Records/Costs. The County shall require Contractor to maintain in good faith and make available to the NVTC, the City, and such other persons, institutions, researchers, or other persons if the parties agree, records showing: • the maintenance and/or repair performed on the buses furnished hereunder, the cost of that maintenance and/or repair, • parts used in maintaining or repairing the buses, and the costs of any of those parts, • the costs of maintaining insurance required by this Agreement, the amount and costs of diesel fuel for the buses, compared to that used by conventional buses, • records of periods when the buses are not available for regularly scheduled service, and the reasons therefore, • the costs of labor for operation of the buses, • such other records as the parties agree would be useful in determining the safety, efficiency, reliability, and performance characteristics of these buses, and • such records as may be necessary to maintain warranties on the buses, their parts or the equipment thereon in effect or to comply with any federal requirements. The County shall maintain in good faith and make available to the NVTC, the City, and such other persons, institutions, researchers, or other persons if the parties agree, records showing: • Rider comment and complaint data; and • passenger ridership and revenue data. The records of maintenance and repair costs, fuel costs, and other direct costs maintained hereunder shall furnish the basis for calculating the direct costs of operation for purposes of the adjustments in price specified above. The County shall be obligated to have Contractor maintain records in good faith using established procedures for the maintenance of those records. 10, Substitute Buses. In the event the XXXXXX buses provided hereunder are unavailable in sufficient numbers to provide the regularly scheduled XXXXXX service, the County shall require Contractor to endeavor in good faith to substitute buses from the ART fleet or otherwise as provided in the Contract to provide the scheduled service. In addition, the Contractor may also use a City XXXXXX bus in the event that one is needed to provide regularly scheduled ART bus service. However, the number of hours per month that a XXXXXX bus is used as a substitute bus on a County route shall not exceed the number of hours per month that a County bus is used as a substitute bus on a City XXXXXX route.

  • Landlord’s Costs Tenant shall, within thirty (30) days after receipt of an invoice from Landlord, pay the reasonable costs, expenses, and fees of any architect or engineer employed by Landlord to review any plans and specifications and to supervise and approve any construction, or for any services rendered by such architect or engineer to Landlord as contemplated by any of the provisions of this Agreement, or for any services performed by Landlord's attorneys in connection therewith; provided, however, that Landlord will consult with Tenant and notify Tenant of the estimated amount of such expenses.

  • Tenant’s Costs Tenant agrees to reimburse or pay Landlord within thirty (30) days after invoice from Landlord for (a) any cleaning expenses incurred by Landlord (to the extent requested by Tenant or as required by Landlord if Landlord reasonably determines that Tenant has failed to maintain the Premises in the condition required by the terms of this Lease, and following not less than five (5) Business Days written notice to Tenant, and Tenant’s failure to correct such failure to Landlord’s reasonable satisfaction with such time period), including carpet cleaning, garbage and trash removal expenses, over and above the normal cleaning provided by Landlord, if any, or due to the presence of a lunchroom or kitchen or food or beverage dispensing machines within the Premises, (b) any expense incurred by Landlord for usage in the Premises of heating, ventilating and air conditioning services, elevator services, electricity, water, janitorial services, or any other services or utilities over and above the normal usage (on a per rentable square foot basis) for the Building, (c) any expense incurred by Landlord relating to or arising out of the usage by Tenant or Tenant’s Agents of the public or common areas of the Building or Land, or any of the equipment contained therein, which usage is over and above the normal usage for such public or common areas or equipment, and (d) any other direct expense incurred by Landlord on Tenant’s behalf. The normal cleaning to be provided by Landlord to the Premises is described in Exhibit G. Landlord reserves the right to install and activate separate metering of electricity, water or other utilities to the Premises, and Tenant agrees to reimburse or pay Landlord within twenty (20) Business Days after invoice from Landlord for the reasonable, actual and documented costs of such separate metering, in which case the Base Amount Allocable to the Premises and Operating Costs shall be adjusted accordingly. If Tenant desires any of the services specified in this paragraph 3.4.8, at a time other than Normal Business Hours (hereinafter defined), then such services shall be supplied to Tenant upon the written request of Tenant delivered to Landlord before 3:00 p.m. on the Business Day preceding such extra usage, and Tenant shall pay to Landlord the actual cost of such services within thirty (30) days after Landlord has delivered to Tenant an invoice therefor. The costs incurred by Landlord in providing HVAC service to Tenant at a time other than Normal Business Hours, shall include costs for electricity, water, sewage, water treatment, labor, metering, filtering, and maintenance reasonably allocated by Landlord to providing such service. Notwithstanding the foregoing, in the event that Tenant desires HVAC service on a Requested Saturday Morning between the hours of 9:00 a.m. to 1:00 p.m., and provided that Tenant delivers a written request to Landlord prior to 3:00 p.m. on the Business Day preceding the Requested Saturday Morning on which such HVAC service is requested in which Tenant specifies the hours during which such HVAC service is requested, Landlord shall provide HVAC service to the Premises at no additional charge to Tenant during the requested period between 9:00 a.m. to 1:00 p.m. on such Saturday morning (the “Requested Saturday Morning”). As used in this Lease, the term “Normal Business Hours” means 8:00 a.m. to 6:00 p.m. on Business Days

  • Costs and Charges 7.19.1 To protect the Landlord from loss arising from any claim as a consequence of any breach by the Tenant of any covenant contained in this Agreement.

If, at the expiration of the year in respect of which monthly installments of Operating Costs shall have been made as aforesaid, the total of such monthly remittances is greater than the actual Operating Costs for such year, Landlord shall promptly pay to Tenant, or credit against the next accruing payments to be made by Tenant pursuant to this subsection 4.2.3, the difference; if the total of such remittances is less than the Operating Costs for such year, Tenant shall pay the difference to Landlord within twenty (20) days from the date Landlord shall furnish to Tenant an itemized statement of the Operating Costs, prepared, allocated and computed in accordance with generally accepted accounting principles. Any reimbursement for Operating Costs due and payable by Tenant with respect to periods of less than twelve (12) months shall be equitably prorated.

  • Attorneys’ Fees, Costs and Expenses In any action or proceeding between Borrower and Bank arising out of or relating to the Loan Documents, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and other costs and expenses incurred, in addition to any other relief to which it may be entitled.
