Participant Qualifications. (a) Participant has all licenses, approvals, qualifications, authority, and authorizations necessary or appropriate to prepare and file tax returns and to participate in the Program and offer Program services to its Customers in accordance with applicable federal, state or municipal law; (b) Participant is not subject to restrictions or disciplinary action of the Internal Revenue Service (“IRS”) or any other federal, state or municipal governmental or professional regulatory body, including, but not limited to, enforcement actions, civil investigative demands or cease and desist orders and, to its knowledge, is not under investigation for fraud or misconduct; (c) except as disclosed to Provider and Bank in writing, Participant is not a party to any lawsuit, arbitration, or legal proceeding; (d) except as disclosed to Provider and Bank in writing, neither Participant nor any person who directly or indirectly has a 5% or greater equity interest in Participant or serves as general partner, member, officer, or director of Participant (each, a “Related Person”) has ever been convicted of any crime of fraud, dishonesty, breach of trust, or money laundering, nor entered a pretrial diversion program in connection with such offense, and neither Participant nor any Related Person has suffered any judgment or agreed to any settlement in a lawsuit or other proceeding alleging that Participant or such Related Party has engaged in fraud or any unfair or deceptive act or practice; (e) except as disclosed to Provider and Bank in writing, Participant has never been terminated by some other similar vendor offering tax refund- related financial products, and (f) if Participant is a business entity, it is properly organized and in good standing, and the person executing this Agreement is authorized to do so. These representations and warranties shall each be deemed an ongoing representation and warranty from Participant, and Participant shall provide notice to Provider and Bank immediately of Participant’s knowledge that any of the foregoing representations or warranties shall cease to be true at any time during the Term.

Participation in this program does not negate any local requirements for generators, whether synchronized or not. A participant that has the ability to reduce a measurable and verifiable portion of its load PJM membership is required to participate in the Emergency Load Response Pilot Program. Special membership provisions have been established for pilot program participants, as outlined in the Attachment. Any existing PJM Member may act as a third party for non-members, in which case the third party will be referred to as the Curtailment Service Provider (CSP). All payments are made to the PJM Member. Participants must become signatories to the PJM Operating Agreement, as described in the PJM Manual for Administrative Services for the Operating Agreement of the PJM Interconnection, L.L.C. However, the $5,000 annual membership fee and the $1,500 application fee are waived, along with the following other modifications: Limited to be PJM Market sellers Waived voting privileges; waived sector designation Provisional membership ends on 8/30/02 Thirty day notice for waiting period is waived No requirement for 24/7 control center coverage No PJM-supported user group capability is permitted A participant, solely by virtue of its participation in the emergency pilot program, (i) shall have no liability under the PJM Operating Agreement (and shall not be included in the calculation of Weighted Interest); (ii) shall not be entitled to indemnification by the other Members under any provision of the Operating Agreement; and (iii) shall not be eligible to participate in any other manner in any markets managed by PJM. Participant Qualifications. We are looking for Vietnamese companies with foreign trade potential, stable management structures and qualified person- nel. These companies are invited to nominate young Vietna- mese experts and executives from middle or upper manage- ment. Applying companies are interested in contacts with Ger- man companies or already have business ties to Germany. The programme is open to all branches. The candidates have several years of professional and management experience and show great interest in practical solutions to management tasks. Sufficient proficiency in the English language (business fluent) is required. A joint selection committee from GIZ and VCCI chooses programme participants on the basis of the application docu- ments and a personal interview. Preparation in Vietnam A good preparation is a key to success in Germany. In Viet- nam the participants conduct individual market and partner research and take part in a training course on modern man- agement practise and intercultural training. Coordinated by VCCI this initial training on export and foreign trade is taught by lecturers with many years of international expe- rience. Practical training in Germany The Vietnamese participants complete a 4-week practice- oriented training programme (management training, business practice, individual contacts). The programme is conducted in English. Training in Germany is organised and carried out by leading German business training centres in close coordina- tion with GIZ. Lasting partnerships Six to twelve months after completing training in Germany, participants attend a follow-up seminar in Vietnam. Suppor- xxx by German experts, the participants exchange ideas and experience from their cooperation with German companies. Various alumni activities and events continue the communica- tion with successful participants and strengthen the emerging partnerships between Vietnamese companies and their Ger- man counterparts. Global Campus 21 Participants receive support through the internet portal Global Campus 21, both during the programme phase and after- wards. They gain access to a network of more than 6,000 managers from different countries in Eastern Europe, Central Asia and Asia. The portal offers alumni a wide variety of ways to plan joint business projects.
