Miscellaneous Legal Terms. ADT is an independent corporation and not a partner with the Provider. This Agreement shall be construed in accordance with the laws of the State of Indiana. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. These Terms are governed by the internal substantive laws of the Republic of Turkey, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. These Terms, together with any amendments and any additional agreements you may enter into with COGNİTUS in connection with the Service, will constitute the entire agreement between you and COGNİTUS concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any sections of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Cognitus’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. We may provide notifications, whether these are required by law of are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by us in our sole discretion. Neither a course of dealing or conduct between you and Bentley nor any trade practice will be deemed to modify these Terms. You may not assign any of your rights set forth in these Terms, and any such attempt is void, but Bentley may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.
