Failure to Exercise definition

Failure to Exercise means the expiration of the Call Period without Monsanto Canada exercising the Call Option.
Failure to Exercise shall have the meaning set forth in the Option Agreement.

  • Election to Exercise shall have the meaning ascribed thereto in Clause 2.2(d)(ii);

  • Broker Exercise Notice means a written notice pursuant to which a Participant, upon exercise of an Option, irrevocably instructs a broker or dealer to sell a sufficient number of shares or loan a sufficient amount of money to pay all or a portion of the exercise price of the Option and/or any related withholding tax obligations and remit such sums to the Company and directs the Company to deliver stock certificates to be issued upon such exercise directly to such broker or dealer.

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).

  • Exercise Form means an Exercise Form in the form annexed hereto as Exhibit A.

The share prices set forth in the column headings of the table above shall be adjusted as of any date on which the number of shares issuable upon exercise of a Warrant or the Warrant Price is adjusted pursuant to Section 4 hereof. In such an event, the number of shares in the table above shall be adjusted by multiplying such share amounts by a fraction, the numerator of which is the number of shares deliverable upon exercise of a Warrant immediately prior to such adjustment and the denominator of which is the number of shares deliverable upon exercise of a Warrant as so adjusted. If the Warrant Price is adjusted pursuant to Section 4.4, the adjusted share prices set forth in the column headings of the table above shall be multiplied by a fraction, the numerator of which is the higher of the Market Value and the Newly Issued Price and the denominator of which is $10.00. In no event will the number of shares issued in connection with a Make-Whole Exercise exceed 0.361 Ordinary Shares per Warrant (subject to adjustment).

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Exercise Notice has the meaning set forth in Section 3.2(1);

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • Demand Exercise Notice has the meaning set forth in Section 2.1(a).

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Option Exercise Notice has the meaning set forth in Section 2.4(c).

  • Option to Extend has the meaning given that term in Section 2.13.

  • Exercise Amount has the meaning set forth in Section 2(a).

  • Warrant Exercise Price means $0.04 per share.

  • Notice of Prepayment has the meaning assigned thereto in Section 2.4(c).

  • Exercise Right means the Exercise Right as specified in § 3 (1) of the Special Conditions.

  • Acceleration Right means the Participant’s right, in certain circumstances, to exercise its outstanding Option as to all or any of the Common Shares in respect of which such Option has not previously been exercised and which the Participant is entitled to exercise, including in respect of Common Shares not otherwise vested at such time;

  • Conversion Right has the meaning set forth in Section 4.05(a) hereof.

  • Face-to-face means an encounter between Client and provider where they are both physically present.
