Licensed Product Warranty. Supplier Warrants that: (i) no Licensed Product will contain hidden files, viruses, “time bombs” or any code or function that operates to alter, damage or erase data or computer programs without control of the person operating the computing equipment on which the Licensed Product resides; (ii) the Licensed Product shall operate in conformance with the Licensed Product specifications and user documentation for a period of six months following acceptance of the Licensed Product by HP and receipt of any new version of the Licensed Product by HP.
Licensed Product Warranty. Q-Med warrants to Bioventus that it will deliver Purchasers good title to the Licensed Product free and clear of any liens, claims, charges or encumbrances. Q-Med further represents and warrants to Bioventus that Licensed Product when delivered in accordance with Section 4.1: (i) shall be Manufactured in accordance and conformity with the then applicable Specifications, (ii) shall not be adulterated or misbranded as defined in the FDCA (except to the extent arising out of Labeling provided or specified by Bioventus or marketing, promotional or sales practices by any of the Purchasers) and (iii) shall be Manufactured in compliance with GMP.
Licensed Product Warranty. The Licensed Product is designed so as to maintain the optical, power and cooling functions under ordinary and reasonably anticipated conditions of transport and use, including without limitation mechanical shock and vibration encountered in shipment and use under customary temperature and environmental conditions as stated in the operator’s manual, and therefore shall have no material warranty costs by reason of such design, whether resulting from a need to repair the Licensed Product at the time of installation or at any time thereafter, for a period as set forth in confidential Schedule 5.6. The Licensed Product, as manufactured in accordance with the specifications provided by XXXXX, shall be marketable for their intended use, free of defect.
Licensed Product Warranty. Licensor warrants that the Licensed Products will substantially achieve the functionality set forth in and materially conform to Licensor's then current Documentation; provided that the foregoing warranty does not apply: (i) where the Licensed Products is not used in accordance with the Documentation; (ii) if the Licensed Products or any part of thereof has been altered or modified other than by or as approved by Licensor or in accordance with the Documentation; or (iii) where a defect in the Licensed Products has been caused by any of malfunctioning equipment not supplied or approved by Licensor. Licensor shall repair or replace License Software that fails to conform to this warranty, which shall be Avaya's exclusive remedy for breach of this warranty. The manner in which Avaya shall seek to limit the warranty remedies available to Service Providers and End Users or to any sublicensee under any arrangement in which Avaya supplies an Avaya Hosted Solution shall be determined through discussions between VMI and Avaya on a contract-by-contract basis.
Licensed Product Warranty. NovaDel represents and warrants that Licensed Product delivered hereunder will (i) be Manufactured by NovaDel in accordance with all applicable Regulatory Approvals for Licensed Product, cGMPs and other laws, rules and regulations of any applicable Regulatory Authority, (ii) conform to the Specifications at the time of delivery, (iii) be capable of maintaining conformity to said Specifications and requirements when handled and stored in accordance with the Labeling until the applicable expiry date of such Licensed Product, and (iv) not be misbranded or adulterated under any applicable laws, rules or regulations.
Licensed Product Warranty. LICENSEE represents and warrants that the Licensed Products will be manufactured in compliance with the Specifications, be of good quality, free from defects in design, material, and workmanship and will be merchantable and suitable for their intended purpose; that no injurious, deleterious, or toxic substances will be used in or on the Licensed Products; that the Licensed Products will not cause harm when used in a foreseeable manner; and that LICENSEE will, at its own expense, comply with all laws, regulations and industry standards, including those relating to the operation of LICENSEE's plants, the manufacture, sale and distribution of the Licensed Products, including the labeling thereof and including safety standards and testing of the Licensed Products. LICENSEE further represents and warrants that the Licensed Products will be suitable for food contact applications as defined by the U.S. FDA and the equivalent standards in Territories outside of the United States.
Licensed Product Warranty. 8.1 Licensor and Xxxxxxxx jointly and severally warrant to Licensee as follows (the "Licensed Product Warranty"):
Licensed Product Warranty. Inflazyme expressly warrants that the Licensed Products provided hereunder to SuperGen shall conform to the specifications therefor set forth in Schedule "A".
Licensed Product Warranty. PTC warrants to Customer that PTC is authorized to grant the License(s). PTC further warrants that the Licensed Products will be free from Errors during the Warranty Period. “Warranty Period” means: (a) for perpetual software licenses, the ninety-day period commencing on the date PTC makes the Licensed Product available to Customer or Customer’s designee, and (b) for subscription licenses, the term of the subscription. PTC shall have no warranty obligations hereunder with respect to any (i) Errors attributable to any modifications or customizations of the Licensed Products, (ii) Licensed Products that are provided by PTC free of charge to Customer, and/or (iii) Bundled Third Party Products (as defined in the Schedule of Third Party Terms). PTC’s issuance of a New Release will not re- start a Warranty Period that has expired.
