ITSS Sample Clauses

ITSS shall only be bound by delivery periods agreed expressly and in writing. If ITSS exceeds the delivery period, User shall be entitled to collect damages fixed in advance insofar as agreed in writing. These damages shall never exceed 5% of the price agreed for the delayed work. Further, late delivery by ITSS shall not entitle User to damages, rescission of the agreement, suspension and/or set-off against or non-performance by it or any obligations arising under the agreement. User shall, however, be entitled to rescind the agreement regarding the portion not performed, if the work is not performed within a reasonable time period, stated in writing by User after the aforementioned late delivery. In the event of such a rescission, there shall be no right to the fixed damages.

ITSS shall never be liable for damage except if, and insofar as, the damage suffered was caused by an intentional act or omission or gross negligence by ITSS . Except in the case of an intentional act or omission by ITSS, however, ITSS’s liability for loss of profits, consequential damage or indirect damage shall always be excluded.

For example, if the last exercised Option Period of the BPA ends on July 15, 2026, any issued BPA Order shall not extend beyond July 14, 2027. During this period, TSA may modify existing orders (e.g., exercise optional Contract Item Line Numbers (CLINs)) and take other similar actions so long as the period of performance does not exceed 12 months past the end of the last exercised Option Period of the BPA. TSA recognizes that Contractors’ GSA MAS Professional Services - Technical and Engineering Services (non-IT) contracts may expire during the ordering period of the BPAs. In the best interest of the Government, and to maximize competition to allow all qualified, interested vendor’s to participate, the Government reserves the right to transition from the vendors awarded GSA MAS Professional Services – Technical and Engineering Services (non-IT) contract number to the vendor’s successor GSA Schedule Contract, provided that the following conditions are met:

In addition, is expected to be able to weld, operate shop tools and do pipe fitting as required. Must under direction, become proficient at effective methods of trouble shooting and repairing hydraulic, pneumatic and mechanical faults in plant machinery. I: Must be capable without direction of performing all practices under Xxxxxxxxxx Must under directionbecomeproficient at reading and understanding blueprints, all phases of installing new equipment, laying out hydraulic and mechanical drives and meet speed and power requirements correctly. Xxxxxxxxxx "A": Must he capable without direction, of performing all under Xxxxxxxxxx X, and Must take full responsibility for work done by himself or his assistant. Must he in possession of a Millwright Certificate or a Machinist Certificate or Welder Certificate. Millwrightspresently employed in this classification will not be required to have a Certificate.
