The Administrative Agent will notify the Donor when it has received notice from all Participating UN Organizations that the activities for which they are responsible under the approved programmatic document have been completed. The date of the last notification received from a Participating UN Organization will be deemed to be the date of expiration of this Arrangement, subject to the continuance in force of paragraph 4 below for the purposes therein stated.

This MOU shall commence on the last date of the signatures set forth below and shall remain in effect until terminated by either USFWS, ODNR, or ODOT, with 30 days advanced written notice to the other parties. This MOU shall be reviewed by all parties within 5 years of the anniversary date of the commencement of this MOU or as needed. If any party determines the need to amend, modify, or otherwise change the terms and conditions set forth herein, the parties shall schedule a meeting for the purpose of revising this MOU. Such meetings shall be set within 30 days of any written notice identifying a need for revision. Should the parties agree to modification of the MOU, then an amendment shall be drawn, approved, and executed in the same manner as the original agreement. Any party to this MOU may request that it be amended or administratively modified to reflect changes, whereupon the parties shall consult to consider such an amendment. If the parties agree to amend this MOU, then the parties may amend the agreement with new signatures and dates after all necessary reviews are completed. The term of the agreement shall remain unchanged unless expressly stated in the amended MOU. Minor changes may be made through appropriate clarification guidance to better refine the processes contained herein by written agreement among the specified parties. These types of minor procedural changes will not require re-execution of the MOU. Expiration, Modification and Termination. The effective date of the Agreement shall be stated in the Agreement. Each Agreement must contain a term or expiration date upon which the Agreement will expire if not renewed; however, in any event, all Agreements must be reviewed, updated where applicable, and renewed at least every two (2) years as evidenced by signatures of the parties. Every Agreement must contain a provision stating the process for modification or termination of the Agreement by any of the parties. An Agreement may be amended upon mutual approval by the Collaborating Physician and Collaborating Pharmacist who have been duly authorized to execute, modify, or change the Agreement. Such amendments shall include, at a minimum, a description of the desired change and the effective date of the change. Any amendment executed shall not automatically void the terms and conditions of the existing Agreement unless expressly stated. Amendments to the authorized care and services which establish substantive additions or reductions to the scope of patient care services provided under the Agreement, including new therapeutic classes of drugs added to the authorized Formulary, must be provided to the Board of Pharmacy and Board of Medical Examiners no later than ten (10) days from the date the amendment is signed by the parties.

At the request of the Government, UNDP has agreed to provide fund administration services to the Yasuni Fund until such time that there are no further contributions to the Yasuni Fund, as detailed in the Yasuni Fund TOR or a successor is selected by the Steering Committee in consultation with the Contributors. The Steering Committee will undertake a comprehensive review of the Yasuni operations at a date to be determined by the Steering Committee and decide if UNDP can hand over the fund administration functions to a national successor or maintain UNDP or select another international organization as the fund administrator. If the Steering Committee decides that the fund administration should be provided by another international organization, it will initiate a process, in consultation with the Government and the Contributors to the Yasuni Fund, to identify and reach agreement with such an organization that will assume all the responsibilities of the UNDP MDTF Office as the Yasuni Fund Administrative Agent.
