Target Expansion Premises Commencement Date definition

Target Expansion Premises Commencement Date shall be November 1, 2015. If Landlord fails to timely Deliver the Expansion Premises, Landlord shall not be liable to Tenant for any loss or damage resulting therefrom, and this First Amendment shall not be void or voidable except as provided herein. If Landlord does not Deliver the Expansion Premises within 90 days of the Target Expansion Premises Commencement Date for any reason other than Force Majeure delays, then the Lease with respect to the Expansion Premises only may be terminated by Tenant by written notice to Landlord, and if so terminated by Tenant: (a) the additional Security Deposit delivered pursuant to Section 7 of this First Amendment, or any balance thereof (i.e., after deducting therefrom all amounts to which Landlord is entitled under the provisions of the Lease), shall be returned to Tenant, and (b) neither Landlord nor Tenant shall have any further rights, duties or obligations under this First Amendment with respect to the Expansion Premises. If Tenant does not elect to terminate the Lease with respect to the Expansion Premises only within 5 business days of the lapse of such 90 day period (as extended for Force Majeure delays), such right to terminate the Lease with respect to the Expansion Premises only shall be waived and this First Amendment shall remain in full force and effect. For the avoidance of doubt, notwithstanding anything to the contrary contained herein, if Tenant terminates the Lease with respect to the Expansion Premises pursuant to this paragraph, then this First Amendment shall terminate except for Sections 4 and 5 as they relate to the Original Premises and Section 8, which shall remain in full force and effect with respect to the Original Premises only following such termination of the Lease with respect to the Expansion Premises.

Target Expansion Premises Commencement Date shall be February 1, 2019. If Landlord does not Deliver the Expansion Premises to Tenant by April 1, 2019, for any reason other than Force Majeure delays, this Fourth Amendment may be terminated by Tenant by written notice to Landlord, and if so terminated by Tenant, neither Landlord nor Tenant shall have any further rights, duties or obligations under this Fourth Amendment, except with respect to provisions which expressly survive termination of this Fourth Amendment, and the Lease shall continue in full force and effect as though the parties had never executed this Fourth Amendment. If Tenant does not elect to terminate this Fourth Amendment on or before April 7, 2019, such right to terminate this Fourth Amendment shall be waived and this Fourth Amendment shall remain in full force and effect.

The cost of Landlord’s Work, up to $5.00 per rentable square foot of the Expansion Premises (“Landlord Work Cap”) shall be paid for by Landlord. Tenant shall be responsible for the costs of Landlord’s Work in excess of the Landlord Work Cap and shall reimburse Landlord for such costs of Landlord’s Work in excess of the Landlord Work Cap within 10 days after delivery to Tenant of an invoice therefor. Landlord and its contractors and agents shall have the right to enter the Original Premises to complete Landlord’s Work and Tenant shall cooperate with Landlord in connection with the same. Tenant acknowledges that Landlord’s completion of Landlord’s Work may adversely affect Tenant’s use and occupancy of the Original Premises. Tenant waives all claims against Landlord in connection with Landlord’s Work including, without limitation, claims for rent abatement. During Landlord’s construction of Landlord’s Work, provided that Tenant does not interfere with Landlord’s Work, Tenant shall be permitted to access the Expansion Premises to construct any desired Tenant Improvements, to install Tenant’s furniture, fixtures, cabling and equipment, and to generally prepare the Expansion Premises for Tenant’s occupancy. Upon any interference with Landlord’s Work by Tenant, Landlord shall have the right to exclude Tenant from the Premises until substantial completion of Landlord’s Work.
