Surrender of Records. Upon the Employee’s Separation from Service for any reason, the Employee shall immediately surrender to the Company any and all computer hardware, software and related materials, records, notes, documents, forms, manuals, photographs, instructions, lists, drawings, blueprints, programs, diagrams or other written or printed material (including any and all copies made at any time whatsoever) in his possession or control which pertain to the business of the Company including any Confidential Information in the Employee’s personal notes, address books, calendars, rolodexes, personal data assistants, etc.

Surrender of Records. Executive agrees that Executive shall not retain and shall promptly surrender to the Company all correspondence, memoranda, files, manuals, financial, operating or marketing records, magnetic tape, or electronic or other media of any kind which may be in Executive’s possession or under Executive’s control or accessible to Executive which contain any proprietary information as defined in Section 7.2 above.

Surrender of Records. Executive agrees that, on termination of Executive’s employment pursuant to Section 6 for any reason, Executive will surrender to the Company in good condition all records, files, and other property of the Company in Executive’s custody or possession including, without limitation, the information identified in Sections 5(a)(ii) and (vi), as well any other information concerning the Company’s business that Executive acquired during Executive’s employment with the Company. If and when the employment relationship is terminated, and upon the Company’s request, Executive shall submit to an exit interview at a place and time to be designated by the Company. The Company has the right to request that Executive bring all items referenced in this Section 5(e) to the exit interview. The Company shall reimburse Executive for reasonable travel costs associated with attending the exit interview.

Surrender of Records. The FSMC shall promptly surrender to the SFA, upon SFA’s request, at a location reasonably designated by the SFA, all records required to be kept under Section 12.11 with respect to federal and state law and regulations, upon expiration or termination of this Agreement for any reason. At its expense, the FSMC may make and retain copies of such records necessary to perform it duties hereunder.

The Employee agrees that other than in connection with the good faith performance of the Employee’s duties to the Company, the Employee will not make or retain copies of Confidential Information in any form whatsoever (including, without limitation, information contained in computer memory or stored on electronic devices, including hard drives and removable storage media, and information in online or cloud storage or backup or restoration points) and will not delete or alter any Company-related information (i.e., non-personal) contained on any Company computer or other electronic device or equipment before returning the Company computer or other electronic device or equipment to the Company.
Surrender of Records. Employee agrees that on termination of employment for any cause whatsoever Employee will surrender to Company in good condition any records, including physical and electronic data, kept by him containing information with regard to the business of Company and its Affiliates, as well as other records belonging to Company. Employee will also return any keys, equipments, identification or credit cards, or other property belonging to Company or its Affiliates. For purposes of this Agreement, the term "Affiliate" means any entity currently existing or subsequently organized or formed that directly or indirectly controls, is controlled by or is under common control with Company, whether through ownership of voting securities, by contract or otherwise.
