Examples of Marketing Records in a sentence
The Acquired Marketing Records and Acquired Regulatory Documentation constitute all Marketing Records and Regulatory Documentation necessary and sufficient for the Exploitation (other than the Supply Chain Actions) of the Products as they are presently being Exploited (other than the Supply Chain Actions) by the Sellers and their respective Affiliates.
Notwithstanding anything to the contrary, subject to Section 6.2, each of the Sellers may retain an archival copy of all such Acquired Regulatory Documentation and Acquired Marketing Records to the extent necessary to perform their obligations under the Transition Services Agreement and for regulatory, tax, accounting, or litigation purposes or as otherwise required by Law or any of the Sellers’ or their respective Affiliates’ internal policies for record-keeping purposes.
Sellers shall use commercially reasonable efforts to transfer to Purchasers the Acquired Books and Records, the Regulatory Documentation and the Marketing Records on the Closing Date and, to the extent Sellers are unable to transfer any such Acquired Books and Records, Regulatory Documentation and Marketing Records on the Closing Date, Sellers shall deliver all such Acquired Books and Records, Regulatory Documentation and Marketing Records within [***] days following the Closing Date.
